Broker. Tenant represents and warrants that it has not dealt with any broker in connection with the negotiation or execution of this Amendment. Tenant and Landlord each agree to Indemnify the other against all costs, expenses, attorneys' fees, liens and other liability for commissions or other compensation claimed by any broker or agent claiming the same by, through, or under the indemnifying party.

Brokers. Landlord and Tenant each represents and warrants that it has not dealt with any brokerbroker, agent or other person (collectively, “Broker”) in connection with the negotiation or execution oftransaction reflected in this Fifth Amendment. Landlord and Tenant each hereby agrees to indemnify and Landlord each agree to Indemnifyhold the other harmless from and against all costs, expenses, attorneys' fees, liens and other liability for commissionsany claims by any Broker claiming a commission or other form of compensation claimed by any brokervirtue of having dealt with Tenant or agent claiming the same by, through, or under the indemnifying party.Landlord, as applicable, with regard to this Fifth Amendment.

Tenant and Landlord each agreerepresents to Indemnifythe other that in the negotiation and consummation of this Agreement it has dealt with no broker. Each of Tenant and Landlord indemnifies the other against all costs, expenses, attorneys' fees, liensliability (including reasonable attorneys’ fees and other liability for commissionsdisbursements) arising out of an inaccuracy or other compensation claimed by any brokeralleged inaccuracy of the above representation. The provisions of this Paragraph shall survive the expiration or agent claimingearlier termination of the same by, through, or under the indemnifying party.Lease.

Landlord and Tenant and Landlord each hereby agree to Indemnifyindemnify and hold the other harmless from and against all costs, expenses, attorneys' fees, liens andany claims by any Broker, other liability for commissionsthan Jones Lang LaSalle claiming a commission or other form of compensation claimed by any brokervirtue of having dealt with Tenant or agent claiming the same by, through, or under the indemnifying party.Landlord, as applicable, with regard to this First Amendment.

Landlord and Tenant represents and warrantshereby warrant to each other that it has not dealtthey have had no dealings with any real estate broker or agent in connection with the negotiation of this Amendment other than CBRE, Inc., representing both Landlord and Tenant in this transaction (the “Brokers”), and that they know of no other real estate broker or executionagent who is entitled to a commission in connection with this Amendment. Each party agrees to indemnify and defend the other party against and hold the other party harmless from any and all claims, demands, losses, liabilities, lawsuits, judgments, and costs and expenses (including, without limitation, reasonable attorneys’ fees) with respect to any leasing commission or equivalent compensation alleged to be owing on account of the indemnifying party’s dealings with any real estate broker or agent, other than the Brokers. The terms of this Section shall survive the expiration or earlier termination of this Amendment. Tenant and Landlord each agree to Indemnify the other against all costs, expenses, attorneys' fees, liens and other liability for commissions or other compensation claimed by any broker or agent claiming the same by, through, or under the indemnifying party.

No Brokers. Landlord and Tenant represents and warrantshereby warrant to each other that it has not dealtthey have had no dealings with any real estate broker or agent in connection with the negotiation or execution of this Amendment. TenantThird Amendment, and Landlord each agree to Indemnify the other against all costs, expenses, attorneys' fees, liens and other liability for commissions or other compensation claimed by anythat they know of no real estate broker or agent claimingwho is entitled to a commission in connection with this Third Amendment. Landlord shall indemnify, defend and hold harmless Tenant representsfrom and warrants that it has not dealt withagainst any brokerclaim for a brokerage commission, finder's fee or similar fee in connection with the negotiationthis Amendment based on an actual or execution ofalleged agreement made by Landlord. Tenant shall indemnify, defend and hold harmless Landlord from and against any claim for a brokerage commission, finder's fee or similar fee in connection with this Amendment.
