The parties agree that any breach of [Sections V, VI or VII]I]I] of this Agreement will cause irreparable damage to the non-breaching party and that, in the event of such a breach or threatened breach, the non-breaching party shall have, in addition to any and all remedies at law, the right to an injunction, specific performance or other equitable relief to prevent the violation of any obligations hereunder. The parties agree that, in the event that any provision of [Section V, VI, or VII]I]I] shall be determined by any court of competent jurisdiction or arbitration panel to be unenforceable, such provision shall be deemed to be modified to permit its enforcement to the maximum extent permitted by law.

He agrees to cause Company to comply with the covenants found in Sections 4(vi) and (vii) of the Purchase Agreement.

Borrowers shall prepay the Obligations as required under [Sections 9.5(a), 9.7(b)(ii), (iii), (v), (vi), (vii), (xi), (xii) and (xiii) and 9.9(f)(ix)])])])])])])])])])].

End of Article VI ARTICLE VII

Breach of Certain Provisions. Failure of the Borrower to perform or comply with any term or condition contained in [Sections 6.1(f), 6.3 or 8.1]1]1], or in Article VII; or

Amendment to [Article VII]. The introductory clause appearing at the beginning of [Article VII] of the Credit Agreement is hereby amended and restated in its entirety to read as follows:

“Redeemed Crescent Parties” means Crescent Mezzanine Partners VI, L.P., Crescent Mezzanine Partners VII, L.P., Crescent Mezzanine Partners VII (LTL), L.P. and CBDC Universal Equity, Inc.

#Section III of the Plan is amended by renumbering the existing [clause (vi)] of the second sentence therein to [clause (vii)] and inserting the following new [clause (vi)] immediately prior thereto:

(a) “Audit Protocol” means the audit protocol describing the procedures and issues required to be addressed by the Engineering Audit Firm in conducting the Engineering Audit, as developed and agreed upon by the Producers in accordance with [Section 6.11], as same may be amended from time to time;

Amendment to [Article VI]. [Article VI] of the Credit Agreement is hereby amended by inserting a new [Section 6.21] to read as follows:
