Covenant. Except as expressly set forth in this Article 6 or the Supply and Quality Agreement or the U.S. and RoW Agreement, AstraZeneca shall not have the right to manufacture any Product anywhere in the world.

Covenant. Subject to the express terms of this Agreement, the Corporation hereby covenants and agrees that it will not take any action, including, without limitation, the enacting, amending or repealing of any by-law, which would in any manner adversely affect or prevent the Corporation's ability to perform its obligations under this Agreement.

Breach; Consequences of Breach. In the event a Party materially breaches this Agreement (a “Default”), and if after written notice thereof from the non-defaulting Party, the defaulting Party fails to cure such Default in full within ​ days after receipt of such notice, this Agreement shall ​.

COVENANT. During the Transition Period and for the entire Restriction Period, the Executive shall not engage in acts of unfair competition as defined in this Agreement and as otherwise identifiable under the common, statutory, or other relevant law, rules, or regulations in any state or jurisdiction in which the Company operates or has operated.

Breach of Covenant. (i) Any breach by any Credit Party of any of the covenants in Section 5.1, Section 5.2(f), Section 5.2(g), [Section 5.2(j)(iii)], Section 5.2(s), Section 5.2(t), Section 5.3(a), Section 5.15, Section 5.16 or Article 6 of this Agreement or the corresponding covenants in any Guaranty; or # any breach by any Credit Party of any other covenant contained in this Agreement (other than those specified in Section 7.1(a), Section 7.1(b) or the [foregoing clause (i) of this Section 7.1(c)]) or any other Credit Document and such breach shall remain unremedied for a period of thirty (30) days after the earlier of # the date on which any Credit Party has actual knowledge of such breach and # the date written notice of such breach shall have been given to the Borrower by any Lender (such grace period to be applicable only in the event such Default can be remedied by corrective action of a Credit Party or any of its Subsidiaries);

Covenant. Each Holder (on a several and not joint basis) agrees to indemnify and hold harmless the Trustee and the Collateral Agent from and against any and all damages, losses, costs and expenses (including, without limitation, legal fees and expenses) arising or resulting from reliance upon the representations and warranties by such Holder set forth in this SECTION 4.

(i) Any breach by any Credit Party of any of the covenants in Section 5.1, Section 5.2(f), Section 5.2(g), [Section 5.2(j)(iii)], Section 5.2(s), Section 5.2(t), Section 5.3(a), Section 5.15, Section 5.16 or Article 6 of this Agreement or the corresponding covenants in any Guaranty; or # any breach by any Credit Party of any other covenant contained in this Agreement (other than those specified in Section 7.1(a), Section 7.1(b) or the [foregoing clause (i) of this Section 7.1(c)]) or any other Credit Document and such breach shall remain unremedied for a period of thirty (30) days after the earlier of # the date on which any Credit Party has actual knowledge of such breach and # the date written notice of such breach shall have been given to the Borrower by any Lender (such grace period to be applicable only in the event such Default can be remedied by corrective action of a Credit Party or any of its Subsidiaries);

Remedies for Breach of Restrictive Covenant. The Executive has reviewed the provisions of this Agreement with legal counsel, or has been given adequate opportunity to seek such counsel, and the Executive acknowledges that the covenants contained in this Section 8 are reasonable with respect to their duration, geographical area and scope. The Executive further acknowledges that the restrictions contained in this Section 8 are reasonable and necessary for the protection of the legitimate business interests of the Employer, that they create no undue hardships, that any violation of these restrictions would cause substantial injury to the Employer and such interests, and that such restrictions were a material inducement to the Employer to enter into this Agreement. In the event of any violation or threatened violation of these restrictions, the Employer, in addition to and not in limitation of, any other rights, remedies or damages available to the Employer under this Agreement or otherwise at law or in equity, shall be entitled to preliminary and permanent injunctive relief to prevent or restrain any such violation by the Executive and any and all persons directly or indirectly acting for or with the Executive, as the case may be. If the Executive violates the Restrictive Covenant and the Employer brings legal action for injunctive or other relief, the Employer shall not, as a result of the time involved in obtaining such relief, be deprived of the benefit of the full period of the Restrictive Covenant. Accordingly, the Restrictive Covenant shall be deemed to have the duration specified herein computed from the date the relief is granted but reduced by the time between the period when the Restrictive Period began to run and the date of the first violation of the Restrictive Covenant by the Executive. Notwithstanding anything contained in this Agreement to the contrary, in the event that the Executive’s employment is terminated without Cause or the Executive resigns for Good Reason and the Employer reasonably determines in good faith that the Executive has violated any provision of Section 8, then the Employer shall be entitled to discontinue any payments or benefits that would otherwise be provided to the
