Any representation, warranty or certification made or deemed made by any Loan Party in any Loan Document or in any certificate required to be delivered in connection herewith or therewith (including, for the avoidance of doubt, any Perfection Certificate) being untrue in any material respect as of the date made or deemed made (subject, in the case of any representation and/or warranty that is capable of being cured, to a grace period of 30 days following the Administrative Borrower’s receipt of a written notice of the inaccuracy of the relevant representation, warranty or certification); or
