By the Seller, if there shall have been a breach of any covenant, representation or warranty or other agreement of the Purchaser hereunder, and such breach shall not have been remedied within ten (10) business days after receipt by the Purchaser of notice in writing from the Seller specifying the breach and requesting such be remedied.

by either Seller or Buyer if there has been a material breach by the other of any representation or warranty contained in this Agreement or of any covenant contained in this Agreement, which inaccuracy or breach has prevented the satisfaction of any condition to the obligations of Seller or Buyer to effect the Closing pursuant to Article 7 or Article 8, as applicable, and which cannot be, or has not been, cured within ten (10) days after written notice of such breach is given to the Party committing such breach, provided that the right to effect such cure shall not extend beyond the date set forth in Section 10.1(c) below;

In the event Purchaser shall fail to perform any of its material obligations hereunder, and if such default is not cured within ten (10) business days after notice thereof from Seller, then Seller shall be entitled to terminate this Agreement in which event it shall be of no further force and effect.
