by the Purchaser in the event of any material breach of any representation, warranty, covenant or agreement of the Seller contained herein and the failure of the Seller to cure such breach within seven (7) days after receipt of notice from the Purchaser requesting such breach to be cured; or

by the Seller in the event of any material breach of any representation, warranty, covenant or agreement of the Purchaser contained herein and the failure of the Purchaser to cure such breach within seven (7) days after receipt of notice from the Seller requesting such breach to be cured.

By the Seller, if there shall have been a breach of any covenant, representation or warranty or other agreement of the Purchaser hereunder, and such breach shall not have been remedied within ten (10) business days after receipt by the Purchaser of notice in writing from the Seller specifying the breach and requesting such be remedied.

by the Purchaser if # there is a material Breach of any representation, warranty, covenant or obligation of the Seller and such Breach shall not have been cured within thirty (30) days after the delivery of written notice thereof to the Seller to the extent such Breach would cause the related condition precedent to Closing not to be satisfied, provided, that the Purchaser shall not have the right to terminate this Agreement pursuant to this Section 7.1(a) if it is then in material breach of any representations, warranties, covenants or other agreements contained in this Agreement that would result in a failure of a condition set forth in Section 6;

if there shall have been a breach of any covenant, representation or warranty or other agreement of the Seller hereunder, and such breach shall not have been remedied within ten (10) business days after receipt by the Seller of a notice in writing from the Purchaser specifying the breach and requesting such be remedied; or

by the Seller if # there is a material Breach of any representation, warranty, covenant or obligation of the Purchaser and such Breach shall not have been cured within thirty (30) days after the delivery of written notice thereof to the Purchaser to the extent such Breach would cause the related condition precedent to Closing not to be satisfied, provided, that the Seller shall not have the right to terminate this Agreement pursuant to this Section 7.1(b) if it is then in material breach of any representations, warranties, covenants or other agreements contained in this Agreement that would result in a failure of a condition set forth in Section 5;

By Seller, by written notice to ​, if ​ breaches or fails to perform in any material respect any of its representations, warranties, covenants or obligations contained in this Agreement, which breach or failure to perform # would give rise to the failure of a condition set forth in Section 7.2 and # cannot be or has not been cured within thirty (30) days after the giving of written notice to ​; provided that Seller is not then in material breach of this Agreement;

by either Seller or Buyer if there has been a material breach by the other of any representation or warranty contained in this Agreement or of any covenant contained in this Agreement, which inaccuracy or breach has prevented the satisfaction of any condition to the obligations of Seller or Buyer to effect the Closing pursuant to Article 7 or Article 8, as applicable, and which cannot be, or has not been, cured within ten (10) days after written notice of such breach is given to the Party committing such breach, provided that the right to effect such cure shall not extend beyond the date set forth in Section 10.1(c) below;

by the Purchasers, if the Company or Seller has breached this Agreement in any respect and such breach is not cured within ten (10) days after written notice from the Purchasers to the Company and the Seller;
