Resolutions. Borrower and Guarantor shall have delivered to Administrative Agent resolutions certified by an appropriate representative authorizing the execution and delivery of the this Amendment, the New Note, the Amendments to the Security Instruments and any and all documents necessary to effectuate this Amendment or otherwise required by Administrative Agent.
Execution and Recording of Documents. Borrower and Guarantor, as applicable, have executed any and all documents necessary to effectuate this Amendment or otherwise reasonably required by Administrative Agent, including the Amendments to the Security Instruments, the New Note, and UCC financing statements, and such documents have been filed or recorded, where necessary.
