Borrowing Notice. Delivery of a Borrowing Request pursuant to Section 2.2.

Borrowing Notice. Delivery to the Administrative Agent of a Borrowing Notice in accordance with Section 2.1(a)(iii) that is subsequently reviewed, accepted and approved by the Lenders and the amount of the Loans being requested shall be greater than Two Million Five Hundred Thousand Dollars ($2,500,000) or such lesser amount as is then remaining under the Commitment.

Borrowing Notice. The receipt by the Administrative Agent of a fully executed Borrowing Notice.

Borrowing Notice”: a notice substantially in the form of Exhibit B hereto.

Borrowing Notice” shall mean a notice executed by the chief executive officer or chief financial officer of the Borrower, appropriately completed and substantially in the form of Exhibit D attached hereto.

Borrowing Notice. The Borrower shall request Loans by delivering to the Lenders with a copy to the Administrative Agent an irrevocable written notice in the form of Exhibit B-1 (or such other form as may be approved by the Administrative Agent at the instructions of the Lenders), appropriately completed and signed by a Responsible Officer of the Borrower (a “Borrowing Notice”) by no later than 12:00 p.m., New York time, at least five (5) Business Days before the requested date of each Borrowing.

Borrowing Notice” has the meaning set forth in Section 2.1(a)(iii).

Borrowing Notice. The Administrative Agent shall have received an executed Borrowing Request in accordance with the terms hereof and Section 2.03(a) of the Credit Agreement.
