Subsidiary Borrowers. In addition to the requirements of any other applicable provision of this Agreement or any other Loan Document, if any Subsidiary of a Borrower is formed or acquired after the Agreement Date, the Borrowers will notify the Credit Parties in writing thereof within 10 Business Days following the date on which such Subsidiary is formed or acquired (or such later date as may be acceptable to the Administrative Agent in its sole discretion) and, by such date (unless any such requirement is waived in writing by the Administrative agent in its sole discretion):

If any additional direct or indirect Subsidiary Borrowers. In addition toof the requirements of any other applicable provisionBorrower becomes a Subsidiary Loan Party (for the purposes of this Agreement or any other Loan Document, if any Subsidiaryparagraph, disregarding [clause (a)](iii) of the definition of such term) (including as a Borrower is formed or acquiredresult of becoming a Material Subsidiary) after the AgreementEffective Date, the Borrowers will notify the Credit Parties in writing thereof within 10five (5) Business Days following the date on which such Subsidiary is formed or acquired (or such later date as is agreed upon by the Administrative Agent) after the date such Subsidiary becomes a Subsidiary Loan Party (including as a result of becoming a Material Subsidiary), notify the Administrative Agent and the Lenders thereof and, within sixty (60) Business Days after the date such Subsidiary becomes a Subsidiary Loan Party (including as a result of becoming a Material Subsidiary) (or such later date as is agreed upon by the Administrative Agent), cause the Collateral and Guarantee Requirement to be satisfied with respect to such Subsidiary and with respect to any Equity Interest in or Indebtedness of such Subsidiary owned by or on behalf of any Loan Party.
