The representations of the Company and the Shareholders as contained in Section 5 of this Agreement\ shall be true on and as of the Closing Date with the same effect as though such representations and warranties had been made on and as of the Closing Date.

The representations of the Company and the Shareholders asBuyer contained in Section 56 of this Agreement\Agreement shall be true on and as of the Closing Date with the same effect as though such representations and warranties had been made on and as of the Closing Date.

The representations and warranties of the Company and the Shareholders as contained in Section 5 of this Agreement\Agreement shall be true and correct in all material respects on and as of the Closing Date with the same effect as though such representations and warranties had beenif made on the Closing Date and as ofthe Company has complied in all material respects with all the agreements and satisfied all the conditions on its part to be performed or satisfied at or prior to the Closing Date.

The representations and warranties of the Company and the Shareholders as containedHolders in Section 5 of this Agreement\Agreement shall be true and correct in all material respects on and as of the Closing Date with the same effect as though such representations and warranties had beenif made on the Closing Date and as ofthat the Holders shall have complied in all material respects with all the agreements and satisfied all the conditions on their part to be performed or satisfied at or prior to the Closing Date.

The representations and warranties of the Company and the Shareholders as contained in Section 5this Agreement shall have been true and correct on the date of this Agreement\Agreement and shall be true and correct on the Closing Date as if given on and as of the Closing Date with the same effect as though such(except for representations and warranties had been made on andgiven as of a specific date, which representations shall be true and correct as of such date), and on or before the Closing Date.Date the Company shall have performed all covenants and agreements of the Company contained herein or in any of the other Transaction Documents required to be performed by the Company on or before the Closing Date; and

The representations and warranties of the Company and the Shareholders asBuyer contained in Section 5 of this Agreement\Agreement and in any document delivered hereunder at Closing shall be true on and correct in all material respects as of the Closing Date with the same effect as though such representations and warranties had been made onor given again at and as of the Closing Date.Date, except for any representation or warranty expressly stated to have been made as or given as of a specified date, which, at the Closing Date, shall be true and correct in all material respects as of the date expressly stated.

The representations and warranties of the Company and the Shareholders as contained in Section 5 of this Agreement\ shall be true onand correct in all material respects as of the date when made and as of the Closing Date with the same effectDate, as though made at such time (except for representations and warranties had been made onthat speak as of a specific date) and as ofthe Company shall have performed, satisfied and complied in all material respects with the covenants, agreements and conditions required by this Agreement to be performed, satisfied or complied with by the Company at or prior to the Closing Date.
