Borrowers’ Office and Names. As of the Closing Date, each Borrower’s chief executive office is located at the address stated in [Section 13.5(a)] of this Agreement, and each Borrower covenants and agrees that it will not, without prior written notification to Agent, relocate said chief executive office. As of the Closing Date, the exact legal name of each Borrower is as set forth on the signature page of this Agreement and no Borrower has, during the five years immediately prior to the date of this Agreement, been known by or used any other legal name. Each Borrower agrees that it will not, without not less than 15 days’ prior written notification to Agent (or such shorter period as Agent may agree), change its legal name.

No Loan Party has been known by any other corporate name in the past five years and no Loan Party sells Inventory under any other name except as set forth on [Schedule 5.21], nor has any Loan Party been the surviving company of a merger or consolidation or acquired all or substantially all of the assets of any Person during the preceding five (5) years.

Proper Names; Chief Executive Office/Jurisdiction of Organization. ​ does not operate in any jurisdiction under a trade name, division name or name other than those names previously disclosed in writing by ​ to ​. On the Effective Date, ​’s chief executive office is, and has been, located as specified in [Section 23] hereto. ​’s jurisdiction of organization, type of organization and organizational identification number is as set forth in the Pricing Letter.

Office Locations; Fictitious Names; Predecessor Companies; Tax I.D. Number. Borrower's chief place of business, its chief executive office, and its jurisdiction of organization is located at the place identified for Borrower on [Schedule 4.01(j)]. Within the last four months it has not had any other chief place of business, chief executive office, or jurisdiction of organization. [Schedule 4.01(j)] also sets forth all other places where Borrower keeps its books and records and all other locations where Borrower has a place of business. Borrower does not do business nor has Borrower done business during the past five (5) years under any trade-name or fictitious business name. There are no predecessor companies of Borrower. For purposes of the foregoing, a "predecessor company" shall mean, with respect to Borrower, any Person whose assets or equity interests are acquired by Borrower or who was merged with or into Borrower within the last four months prior to the date hereof. Borrower's United States Federal Income Tax I.D. Number is identified on [Schedule 4.01(j)].

Principal Trade Names. The Company shall not Dispose of any Principal Trade Name.

Use of Names. Except as described in this Agreement and as may be required by applicable law, neither Party shall distribute or have distributed any publicity or information which bears the name of the other without the prior written approval of the other.

Miller Trade Names. [Section 5.18] of the Purchase Agreement is hereby amended to add the following as the final sentence thereof:

Use of Names. Except as otherwise expressly provided in this Agreement, no right, express or implied, is granted by the Agreement to use in any manner the name of “Denali” “​,” or any other trade name or trademark of the other Party in connection with the performance of this Agreement.

Assignment of Domain Names. Seller will execute and deliver to Buyer an Assignment of Domain Names in the form attached hereto as [Exhibit H];

Tradenames and Place of Business. (i) The Borrower has no trade names, fictitious names, assumed names or “doing business as” names or other names under which it has done or is doing business and # the principal place of business and chief executive office of the Borrower are located at the address of the Borrower set forth below its name on the signature pages of this Agreement and has been so for the last four months.
