Minute Books. The minutes of the Company made available to Parent contain complete and accurate records of all actions taken, and summaries of all meetings held, by the equity holders and the Board of Directors (or similar governing body) of the Company (and any committees thereof) since the time of incorporation or formation of the Company, as the case may be. At the Closing, the minute books of the Company will be in the possession of the Company.

Section # Books and Records. True, correct and complete copies of all of the minute books of the Company and the Subsidiaries have been made available to Parent prior to the date hereof. The minute books of the Company contain accurate and complete records of all meetings, and actions taken by written consent of, the Board of Directors of the Company, and no meeting, or action taken by written consent, of the Board of Directors of the Company has been held for which minutes have not been prepared and are not contained in such minute books. At the Closing, all of the books and records referred to in this Section 3.24 will be in the possession of the Company and such records will be in compliance with applicable Law in all material respects.
