Maintenance of Properties Exercise its best business judgment toProperty. Except as permitted by [Section 6.03 or 6.04]4], maintain and preserve all property material to the conduct of the business of the Borrower and its Subsidiaries, taken as a whole, and keep such property which is used or useful in its businessall material respects in good repair, working order and condition, ordinary wear and tear excepted; provided, however, that nothing in this [Section 606] shall prevent any Borrower or Subsidiary from discontinuing the operation or maintenance of any such property if such discontinuance will not result in a Material Adverse Effectexcepted.

Each Borrower will, and will cause each of its best business judgment toSubsidiaries to, maintain and preserve all of its property which is usedassets that are necessary or useful in the proper conduct of its business in good working order and condition, ordinary wearwear, tear, casualty, condemnation, obsolescence and tear excepted; provided, however, that nothing in this [Section 606] shall prevent any Borrower or Subsidiary from discontinuingPermitted Dispositions excepted, except where the operation or maintenance of anyfailure to so maintain and preserve such property if such discontinuance willassets could not result inreasonably be expected to have a Material Adverse EffectEffect.

The Borrower will, and will cause each Subsidiary to, keep and maintain all property material to maintain and preserve all its property which is used or useful inthe conduct of its business in good working order and condition, ordinary wear and tear excepted; provided, however, that nothing in this [Section 606] shall prevent any Borrower or Subsidiary from discontinuingexcepted, except where the operation or maintenance of any such property if such discontinuance willfailure to do so could not reasonably be expected to result in a Material Adverse EffectEffect.
