Booking of Sales; Distribution. Subject to the terms and conditions of this Agreement, Abbott shall have the sole right to invoice and book sales, establish all terms of sale (including pricing and discounts) and warehousing, distribute the Product in the Territory, and perform or cause to be performed all related services. Without limiting the foregoing, Abbott shall handle all returns, recalls, corrections, removals, order processing, invoicing, collection, distribution, and inventory management with respect to the Product in the Territory.

Booking of Sales Revenues. [[Unknown Identifier]] shall retain ownership of the rights to the Product and record on its books all revenues from sales of the Product. [[Unknown Identifier]] shall be exclusively responsible for accepting and filling purchase orders, billing, and returns with respect to the Product. If BI receives an order for the Product, it shall promptly transmit such order to [[Unknown Identifier]] (or its designee) for acceptance or rejection. [[Unknown Identifier]] shall have sole responsibility for shipping, distribution and warehousing of the Product, and for the invoicing and billing of purchasers of the Product and for the collection of receivables resulting from the sales of the Product in the Territory.

Subject to the Commercialization Plan (solely with respect to the [[Address A:Address]]), PARTNER shall invoice and book Net Sales, establish all terms of sale (including pricing and discounts) and warehouse and distribute Licensed Products for use in the Licensed Field in the Territory and perform or cause to be performed all related services. Subject to [Section 3.7, PARTNER] shall be responsible for conducting and managing all returns, recalls, suspensions or withdrawals, order processing, invoicing, collection, distribution and inventory management with respect to Licensed Products for use in the Licensed Field in the Territory.

Booking Sales in U.S. Janssen and its Affiliates shall book all sales of the Profit Share Products in the U.S. and shall be solely responsible for all aspects of distribution of the Profit Share Products in the U.S. (including offering for sale, selling, importing, exporting, inventory management and control, storing, warehousing, transportation, all aspects of order processing, invoicing, collection of sales proceeds, booking of sales, preparation of sales records and reports, customer relations and services and handling of returns) and all pricing and reimbursement activities with respect to the Profit Share Product in the U.S. (including obtaining pricing and reimbursement approvals, conducting reimbursement/access services, conducting health policy/advocacy activities, determining prices charged and discounts offered, and conducting price calculations and related reporting to governmental authorities). If Fate receives any orders for Profit Share Product in the U.S., it shall refer such orders to Janssen.

Minimum Sales Revenues. During the Suspension Period, permit the consolidated net revenues (determined in accordance with GAAP) of the Borrower and its consolidated Subsidiaries arising from or attributable to the sale of products and services (excluding revenues arising from or attributable to any unusual or extraordinary transactions of any kind) for # the one month period beginning on April 1, 2020 and ending on April 30, 2020, to be less than $35,000,000, # the two-month period beginning on April 1, 2020 and ending on May 31, 2020, to be less than $82,000,000 and # for each fiscal quarterly period ending on the date specified below, to be less than the amount specified below alongside such fiscal quarter:

The Parties will cooperate and report and reconcile Net Product Sales and Net Profits in accordance with the Revenue Reporting and Reconciliation Procedures and Section 9.5. Nektar will book all sales and revenue of all other Nektar Assets (i.e., all Nektar Assets other than the Nektar Compounds) and retain all revenue for such sales. BMS will book all sales of BMS Assets and retain all revenue for such sales.

Licensee, its Affiliates, or its or their Sublicensees shall invoice and book sales, establish all terms of sale (including pricing and discounts) and warehouse and distribute the Licensed Products in the Field in the Territory and perform or cause to be performed all related services. Licensee, its Affiliates, or its or their Sublicensees shall handle all returns, recalls or withdrawals (in accordance with Section 3.5.2), order processing, invoicing, collection, distribution and inventory management with respect to the Licensed Products in the Territory.

Booking Sales; Distribution. The Lead Commercialization Party will invoice, sell and book all sales of Products in the Territory, and the Lead Commercialization Party will be responsible for warehousing and distributing such Products in the Territory.

TYME shall have sole responsibility for shipping, distribution and warehousing of the Product, and for the invoicing and billing of purchasers of the Product and for the collection of receivables resulting from the sales of the Product in the Territory.
