Bonus Severance. In addition, the Company shall provide Pennypacker with a pro-rata share of that amount to which he would have otherwise been eligible to receive as a bonus under the Company’s 2020 Short-Term Incentive Plan had he completed his current year of employment. The bonus severance shall be provided in a lump sum, less withholding and deductions, at the same time as short-term incentive bonus payments are provided to other executives in the Company (approximately March 1, 2021), so long as Pennypacker has not materially violated, in the Company’s exclusive determination exercised in good faith, any term of this Agreement.

Severance Bonus. Employee will be paid a bonus, within seven (7) days following the effective date of termination, equal to 50% of the average of # the annual bonus he was paid for the year immediately preceding the termination and # his Target Bonus under the Company’s then-current bonus plan, if any, less standard payroll deductions and withholdings.

Severance Payment. In exchange for the terms of a separation agreement in substantially the form attached hereto as Exhibit A (“Separation Agreement”) to be entered into at the end of the Transition Period, Executive shall receive, unless Executive has been terminated for Cause, a severance payment in the amount of $648,000. This total severance amount shall be paid to Executive in installments of $75,000 for each of the first five months and $21,000 for each of the next thirteen months pursuant to the Company’s regular payroll dates and procedures during the period between the effective date of the Separation Agreement and January 31, 2020. Said payments will commence no later than 60 days after the Separation Date provided that Executive has signed and not rescinded the Separation Agreement.

Severance Payment. Executive will receive continuing payments of severance for a period of six (6) months (such number of months, the “Standard Severance Period”) from the date of such termination of employment at a rate equal to Executive’s base salary as in effect immediately prior to the date of Executive’s termination of employment (disregarding any reduction in base salary that triggers the right

If Executive’s employment is terminated by the Company without Cause (as defined in Section 7.1 above) or if Executive voluntarily resigns Executive’s position with the Company for Good Reason (as defined in Section 7.3 above) within thirty (30) days prior to or twelve (12) months after a Change of Control (as that term is defined below), Executive shall be entitled to receive the Severance Payment described in Section 7.2 above, provided Executive complies with the Severance Obligations except that the “Severance Payment” amount shall be paid in a single lump-sum payment, without interest, on or before the second regularly scheduled payroll date following the effectiveness of the binding release as set forth in Section 7.2 above; provided, however, that if any portion of the Severance Payment constitutes deferred compensation subject to Section 409A, and the sixty (60) day period for executing the Release described in Section 7.2 would span two (2) calendar years, then, subject further to Section 7.6(a), such portion of the Severance Payment shall be paid on the first regularly scheduled payroll date occurring on or after sixty (60) days following the calendar year in which the termination date occurs.

In satisfaction of the provisions of [Section 4.02(b)] of the Severance Plan, the Company shall pay Executive an amount in cash equal to $2,135,625, to be paid to Executive in equal installments on Holdings' regular payroll cycles during the 18-month period commencing on the first payroll date following the Effective Date (as defined in the Second Release); provided, however, any installments scheduled to be paid during the six-month period immediately following the Termination Date instead shall be aggregated and paid in a lump sum on September 1, 2017 (or, if earlier, the first business day of the first month following Executive's death), along with interest at the applicable federal rate for instruments of less than one year. Executive acknowledges that no annual incentive bonus is payable to Executive in respect of 2016.

Severance Payment. In satisfaction of the provisions of [Section 4.02(b)] of the Severance Plan, the Company shall pay Executive an amount in cash equal to $2,135,625, to be paid to Executive in equal installments on Holdings' regular payroll cycles during the 18-month period commencing on the first payroll date following the Effective Date (as defined in the Second Release); provided, however, any installments scheduled to be paid during the six-month period immediately following the Termination Date instead shall be aggregated and paid in a lump sum on September 1, 2017 (or, if earlier, the first business day of the first month following Executive's death), along with interest at the applicable federal rate for instruments of less than one year. Executive acknowledges that no annual incentive bonus is payable to Executive in respect of 2016.

Severance Payment. As contemplated by Paragraph 9(d)(ii)(c) of the PD Employment Agreement, and subject to Dauman’s execution and non-revocation of the First Dauman Release, Dauman shall be entitled to a Severance Payment of $58,000,000. $46,400,000 of the Severance Payment shall be payable on the Release Date (as defined in the First Dauman Release) and the remaining $11,600,000 of the Severance Payment will be paid in accordance with Viacom’s regular payroll practices over a period of approximately 29 months following the Release Date. Notwithstanding the foregoing, as contemplated by and in accordance with Paragraph 9(d)(iii) of the PD Employment Agreement, if Dauman materially breaches the non-compete covenant or the no-solicitation covenant set forth in Paragraphs 7(a) and (b) of the PD Employment Agreement and has not cured such breach (if curable) within thirty (30) days following his receipt of notice from Viacom that such breach has occurred, Dauman’s entitlement to any portion of the Severance Payment that has not then been made will cease.

SEVERANCE PAYMENT. [Section 6(b)(iii)] of the Employment Agreement is amended and restated in its entirety to read:

Severance Payment. Subject to the Executive signing and not revoking a release of claims in a form prescribed by the Corporation and the Executive remaining in strict compliance with the terms of this Agreement and any other written agreements between the Corporation and the Executive, the Executive shall be entitled to receive the following amount as severance pay, subject to such amount being reduced as provided below (referred to in this [Section 6(b)(iii)] as the “Severance Payment”): # an amount equal to two times the Executive’s Base Salary as of the Date of Termination, payable in substantially equal installments in accordance with the Corporation’s normal payroll policies commencing on the Date of Termination and continuing for twenty-four (24) consecutive months, plus # an amount equal to the Bonus the Executive would have otherwise been paid for the fiscal year in which the Date of Termination occurs had the Executive remained employed by the Corporation through the payment date of any such Bonus, payable at the same time as bonuses are paid to other then-current senior executive officers of the Corporation under the then-applicable Short Term Plan for the fiscal year in which the Date of Termination occurs.

Severance Payment. will pay to Employee a severance payment equal to two times the sum of # Employee’s annual base salary (at the rate in effect immediately before the Employment Termination Date) plus # Employee’s annual target incentive bonus in effect on the Employment Termination Date. Unless this payment must be postponed by reason of Section 409A of the Internal Revenue Code (as provided in [Exhibit A] to this Agreement), will pay this amount to Employee within five business days of the Termination Date.

Bonus: an additional severance amount equal to 1.5 times your Severance Bonus, determined and paid as follows:

Notwithstanding anything herein to the contrary, none of the severance payments or benefits under this Policy will be made prior to the first payroll date following the effective date of the General Release (the “Initial Payment Date”). On the Initial Payment Date, any lump sum salary severance payment or prorated bonus severance payments (to the extent applicable) that the Participant is entitled to receive under this Policy will be fully paid to the Participant.

Bonus. With respect to each fiscal year that ends during the Employment Term, commencing with fiscal year 2024, the Executive shall be eligible to receive a bonus in such amounts and based upon achievement of such corporate and/or individual performance and other criteria as shall be approved by the Compensation Committee from time to time, with a target amount, if such performance and other criteria are achieved, of eighty-five percent (85%) of the Base Salary (the “Target Bonus Amount”), which bonus shall be paid in a manner consistent with the Company’s bonus practices then in effect. The Target Bonus Amount and the maximum payout for any subsequent renewal Term of the Agreement shall be determined by the Compensation Committee. To be eligible to receive a bonus, the Executive must be employed by the Company on the date the bonus is paid.

Bonus. During each year that this Agreement is in effect, Employee will be entitled to receive a bonus (“Bonus”) totaling at least Thirty-Five Thousand Dollars ($35,000) per year. The Bonus shall be payable, first in a cash lump sum payment of Fifteen-Thousand Dollars ($15,000) at the conclusion of Employee’s first six (6) months of employment, and an additional Twenty-Thousand Dollars ($20,000) no later than thirty (30) days after the end of the Employee’s first twelve (12) months of employment by the Company, such Bonus being subject to increases based upon the reasonable discretion of the majority of the board of directors of the Company or the designated committee(s) thereof.

Bonus. The Employee shall be eligible for an annual cash bonus, which shall be determined in good faith by the compensation committee of the Board in its sole discretion in connection with the annual meeting or other such time, as the case may be, as determined by such committee.
