Bonds, Letters of Credit or Guarantees. Except as set forth on [Schedule 6.1(r)], Farmor has no bonds, letters of credit or guarantees posted with the Government with respect to the Contract, and any bond, letter of credit or guarantee or similar instrument required by the Contract to be posted with the Government as of the Execution Date has been posted.

Schedule #(r) Bonds, Letters of Credit or Guarantees

Indebtedness (including bank guarantees, letters of credit and other instruments similar to letters of credit issued for general corporate purposes) in an aggregate principal or face amount at any time outstanding not to exceed $5,000,000 in respect of performance, bid, appeal and surety bonds, customer guarantees and performance and completion guarantees and similar obligations provided by the Borrower or any Restricted Subsidiary; and

Release of Guarantees. The Purchaser shall cooperate with the Seller and the Seller Affiliates to obtain the return or release of all bonds, security, credit support, parent guarantees and indemnifications as set forth on Part of the Disclosure Schedule, and, to effectuate such return or release, the Purchaser shall, to the extent required, post its own bonds, letters of credit, parent guarantees, indemnifications and other security in substitution therefor. If, notwithstanding the Purchaser’s compliance with the foregoing sentence, any such bonds, security, credit support, parent guarantees or indemnifications remain outstanding following the Closing, the Purchaser shall indemnify and hold harmless the Seller and the Seller Affiliates from and against all Damages suffered or incurred by them in connection with such bonds, security, credit support, parent guarantees or indemnifications.

Liens to secure the performance of tenders, bids, trade contracts, governmental contracts, leases and other contracts (other than Indebtedness for borrowed money), statutory obligations, surety, stay, customs and appeal bonds, performance bonds, customer guarantees, performance and completion guarantees and other obligations of a like nature (including, without limitation, # those to secure health, safety and environmental obligations, # those required or requested by any Governmental Authority and # letters of credit or bank guarantees issued in lieu of any such bonds or guarantees to support the issuance thereof) incurred in the ordinary course of business;

Specified Indebtedness in respect of # bid bonds, performance bonds, surety bonds and similar obligations, in each case, incurred by Borrower or any of its Restricted Subsidiaries in the ordinary course of business, # appeal bonds in respect of judgments not constituting an Event of Default under [Section 7.01(k) and (3)])] guarantees or obligations with respect to letters of credit supporting such bid bonds, performance bonds, surety bonds, appeal bonds and similar obligations;

Indebtedness in respect of letters of credit, bank guarantees, supporting obligations, banker’s acceptances, performance bonds, surety bonds, statutory bonds, appeal bonds, warehouse receipts or similar instruments issued or created in the Ordinary Course of Business, including in respect of workers compensation claims, health, disability or other employee benefits or property, casualty or liability insurance or self-insurance or other Indebtedness with respect to

obligations in respect of self-insurance, performance, bid, appeal and surety bonds and completion guarantees and similar obligations provided by Holdings or any Restricted Subsidiary or obligations in respect of letters of credit, bank guarantees or similar instruments related thereto, in each case, in the ordinary course of business;
