Board of Managers. ReGenX hereby retains the Manager, and the Manager hereby agrees to serve, as a member of the Board of Managers of ReGenX. As a member of the Board of Managers, the Manager shall devote his efforts to satisfying the responsibilities, and shall have the powers and be entitled to the rights, of a member of the Board of Managers as set forth in ReGenX’s Fifth Amended and Restated Limited Liability Company Agreement (a copy of which has been provided to the Manager), as such agreement may be amended from time to time.

Promptly following the Commencement Date, each party must designate an individual to serve as the main point of contact for each party to exchange information, facilitate communication and coordinate the parties’ Development, Regulatory, manufacturing and CMC activities relating to any Compound and

Project Managers. The Project Managers for each Work Order shall be the primary point of contact for the Parties regarding the day-to-day activities undertaken with respect to the applicable Work Orders. Except for notices or communications required or permitted under this Agreement, which will be subject to [Article 21], or unless otherwise mutually agreed by the Parties in writing, all communications between WuXi ATU and Graphite regarding the conduct of the Services pursuant to such Work Order will be addressed to or routed directly through the Parties’ Project Managers.

Alliance Managers. Each of Regeneron and CytomX shall appoint one representative who possesses a general understanding of development, regulatory, manufacturing and commercialization matters to act as its respective alliance manager(s) for this relationship (an “Alliance Manager”). Each Party may replace its respective Alliance Manager at any time upon written notice to the other in accordance with this Agreement. Any Alliance Manager may designate a substitute to temporarily perform the functions of that Alliance Manager. Each Alliance Manager will also be responsible for:

Seller shall appoint one or more relationship managers reasonably acceptable to ​ to manage the relationship established by this Agreement (the “Seller Relationship Manager(s)”) who will # have overall managerial responsibility for acting, coordinating and facilitating the performance of the Transition Services in accordance with the terms of this Agreement; and # serve as Seller’s primary liaison with the ​ Relationship Manager. The Seller Relationship Manager(s) shall initially be the individual(s) set forth on attached [Schedule B].

Alliance Managers. Each Party shall appoint a person who shall oversee contact between the Parties for all matters under this Agreement and shall have such other responsibilities as the Parties may agree in writing after the Effective Date (each such person, an “Alliance Manager”). Either Party may replace its Alliance Manager at any time by notice in writing to the other Party. The Alliance Managers shall work together to manage and facilitate the communication between the Parties under this Agreement, including the resolution (in accordance with the terms of this Agreement) of issues between the Parties that arise in connection with this Agreement. The Alliance Managers shall not have final decision-making authority with respect to any matter under this Agreement.

Board. The board of directors of ​ has approved the transactions contemplated by the Transaction Documents; said approval has not been amended, rescinded or modified and remains in full force and effect as of the date hereof, and a true, correct and complete copy of such resolutions duly adopted by the board of directors of ​ shall have been provided to ​.
