Board Discretion. The Board retains the discretion to increase (provided that such discretion does not impair the Company’s ability to deduct the amount of compensation payable under the Award), reduce or eliminate the compensation or economic benefit due upon attainment of Performance Goals and to define the manner of calculating the Performance Criteria it selects to use for a Performance Period.
