Blocked Currency. Notwithstanding Section 11.12.1 or [Section 11.12.2], in the event that Licensee (or its Affiliate or Sublicensee) is prohibited by Applicable Law from making any payment (or portion thereof) to Relay under this Agreement with respect to any given country, such payments shall continue to accrue in such country, but Licensee shall not be obligated to make such payments until such time as payment may be made through reasonable, lawful means or methods that may be available, as Licensee shall reasonably determine, and at the time of payment shall pay such accrued royalties in Dollars using the actual exchange rate which is used to remove such sales proceeds from such country.

Currency; Exchange Rate; Blocked Currency. All payments to be made by Ji Xing to [[Cytokinetics:Organization]] under this Agreement shall be made in Dollars by bank wire transfer in immediately available funds to a bank account designated by written notice from [[Cytokinetics:Organization]]. The rate of exchange to be used in computing the amount of currency equivalent in Dollars shall be made at the average of the closing exchange rates reported in The Wall Street Journal (U.S., Eastern Edition) for the first, middle and last Business Days of the applicable reporting period for the payment due. In the event that, by reason of Applicable Laws in any country or region in the Territory, it becomes impossible or illegal for Ji Xing to transfer, or have transferred on its behalf, payments owed to [[Cytokinetics:Organization]] hereunder, Ji Xing will promptly notify [[Cytokinetics:Organization]] of the conditions preventing such transfer and such payments will be deposited in local currency in the relevant country to the credit of [[Cytokinetics:Organization]] in a recognized banking institution designated by [[Cytokinetics:Organization]] or, if none is designated by [[Cytokinetics:Organization]] within a period of ​ days, in a recognized banking institution selected by Ji Xing, as the case may be, and identified in a written notice given to [[Cytokinetics:Organization]].

Blocked Currency. If by Applicable Laws in a country or jurisdiction in the Territory conversion into Dollars or transfer of funds of a convertible currency to the United States becomes materially restricted, forbidden or substantially delayed, then Acadia shall promptly notify Stoke and, thereafter, amounts accrued in such country or jurisdiction shall be paid to Stoke (or its designee) in such country or jurisdiction in local currency by deposit in a local bank designated by Stoke and to the credit of Stoke, unless the Parties otherwise agree.

Blocked Currency. In each country where the local currency is blocked and cannot be removed from the country, reimbursements or other payments in that country that are to be under this Agreement in RMB shall instead be paid to FibroGen China or AstraZeneca, as the case may be, in the equivalent amount in Dollars.

Blocked Payments. In the event that, by reason of Applicable Laws in any country, it becomes impossible or illegal for a Party or its Affiliate to transfer, or have transferred on its behalf, payments to the other Party, such Party shall ​ notify the other Party of the conditions preventing such transfer and such payments shall ​.

If, at any time, legal restrictions prevent Roche (or an Affiliate or Sublicensee) from remitting part or all of payments when due with respect to any country worldwide where Therapeutic Products or Licensed Products are sold, Roche shall continue to provide the reports set forth in [Section 9.2] for such payments, and such payments shall continue to accrue in such country, but Roche shall not be obligated to make such payments, and, for clarity, [Section 9.12.5] shall not apply to such payments, until such time as payment may be made through reasonable, lawful means or methods that may be available, as Roche shall reasonably determine.
