Biorepository Equipment: Financing, Replacement, Maintenance, Repair. Manager shall procure, finance or cause to be procured or financed for and on behalf of the Provider and at Provider’s expense, any equipment along with appropriate certification and/or accreditation as necessary for such equipment and make such replacements and upgrades of Biorepository equipment as are reasonably requested by Provider. If Manager is prohibited from obtaining appropriate certifications or accreditations by federal or state law, Provider shall obtain such certifications and/or accreditations. Manager is responsible for such maintenance and repair of the Biorepository equipment as is reasonably requested by Provider. Manager will consult with Provider as appropriate with respect to such issues.
Laboratory Equipment: Financing, Replacement, Maintenance, Repair. Manager shall procure, finance or cause to be procured or financed for and on behalf of the Wound
Repair and Maintenance. Tenant will, at its own expense, from time to time and at all times during the term hereof, maintain and keep the Premises, together with all fixtures and items of personal property used or useful in connection therewith, in as good order and condition as they now are or may be put in, reasonable wear and tear and damage by the elements and such casualty (unless caused by Tenant) against which insurance is not required of Tenant hereunder excepted. Landlord acknowledges that Tenant is not required to carry casualty insurance for damage to the Premises. Tenant will maintain the signs on the Premises and fix all potholes that may develop. Tenant will have the benefit of all warranties pertaining thereto. Tenant will remove snow and ice from the Premises and keep adjacent sidewalks clean and free from ice and snow.
#[[Organization A:Organization]], at its own cost and expense, will maintain sufficient maintenance and repair facilities (and shall keep on hand in quantity and quality and specification such spare parts and equipment as a Reasonable and Prudent Operator would maintain for operation of equipment such as the ISO Containers) and will conduct such repair and maintenance on the ISO Containers to ensure that the same are in good condition, complying in all material respects with # Applicable Laws, # Approvals; # the terms of this Agreement; # applicable manufacturer’s instructions and recommendations, # International LNG Container Standards (including applicable health and safety laws and environmental, noise and pollution laws (including notifications and reports) and # required insurance policy terms, conditions and provisions); in each case, performed by qualified and (if required by applicable standards) licensed personnel; provided, however, that in the event of a conflict between any of the priorities noted above, the priority with the lowest numeral noted above in this sentence shall prevail. [[Organization A:Organization]] will inspect and cause to be inspected the ISO Containers at such times and frequency and in such detail as is necessary to ensure compliance with the requirements set out herein (or to identify noncompliance), and will promptly report to [[Organization B:Organization]] the results of those inspections.
Biorepository. Manager shall cause Provider to lease and shall maintain or arrange for the maintenance of, on behalf of Provider and at Provider’s expense, the Biorepository.
Repair, Maintenance and Testing. shall, at ’s sole cost and expense maintain and repair and improve, in accordance with the Management Standard, and pursuant to the specifications set forth in Exhibit K attached hereto (to the extent applicable to Maintenance Responsibilities), those portions of the Building and Premises (inclusive of improvements, fixtures and furnishings) which are Maintenance Responsibilities. shall have the right to reasonably modify and amend the terms and conditions of Exhibit K attached hereto, from time to time, provided that shall consult with prior to any such modification. shall comply with all Applicable Laws in connection with the Maintenance Responsibilities. At ’s option, if fails to comply with its obligations, as required in this Article 7, may, after written notice to , and after affording a reasonable time period within which to conduct such repair or improvement, and after providing a second notice setting forth ’s intention to engage in self-help (except in the event of an emergency, in which case no notice to shall be required), but need not, perform such obligations, and shall pay the reasonable cost thereof, including a reasonable percentage of the cost thereof sufficient to reimburse for all overhead, general conditions, fees and other costs or expenses arising from ’s involvement with such actions by forthwith upon being billed for same.
Software Repair & Replacement Process. The following requirements are intended to expand (without duplication) on the requirements of [Article 12.4.2], and Contractor shall use commercially reasonable efforts to comply with the same:
The owner is released from responsibility for maintenance, replacement and repair of the equipment.
Biorepository Supplies. Manager shall procure, purchase and provide on behalf of Provider and at Provider’s expense all reasonable supplies, including biomedical supplies and laboratory equipment as may be permitted by law, requested by the Provider or consistent with guidelines adopted from time to time by Provider. If Manager is prohibited by any applicable law from providing such supplies, Provider shall obtain them. The ultimate oversight and supervision of and for all Biorepository supplies is and shall remain the sole responsibility of Provider.
The costs of the operation, repair, replacement and maintenance of the parking areas in the Project (Parking Facilities) including the Parking Garage.
Service Agreements. To the extent required to perform the Maintenance Responsibilities, shall enter into service, repair and maintenance agreements (collectively, the “Service Agreements“) upon the terms and conditions of this Lease. With respect to such Service Agreements, shall endeavor to provide with copies of the same, and in any event, will reasonably promptly provide with copies thereof upon ’s request.
Aircraft Maintenance. AEP shall, at its own expense, cause the Aircraft to be inspected, maintained, serviced, repaired, overhauled, and tested in accordance with FAR Part 91 so that the Aircraft will remain in good operating condition and in a condition consistent with its airworthiness certification. Performance of maintenance, preventive maintenance or inspection shall not be delayed or postponed for the purpose of scheduling the Aircraft unless such maintenance or inspection can safely be conducted at a later time in compliance with applicable laws, regulations and requirements, and such delay or postponement is consistent with the sound discretion of the pilot-in-command. In the event that any maintenance is required that will interfere with User's requested or scheduled flights, AEP or AEP's pilot-in-command, shall notify User of the maintenance required, the effect on the ability to comply with User's requested or scheduled flights and the manner and time and date in which the parties may later conduct such flight(s), if at all.

Maintenance Fee. The accrued and unpaid Maintenance Fee shall be due and payable within 10 calendar days after each Month End until such time that no Events of Default exist for 2 consecutive fiscal quarters.

non-Maintenance
No-charge Maintenance Services shall be provided from the Delivery Date through the Warranty Period. The first paid (Initial) Maintenance Term shall commence upon expiration of the Warranty Period and shall continue for twelve (12) months thereafter. Thereafter, the Maintenance Term shall automatically renew for successive period, 12 months, on the terms and conditions of this Agreement unless [[Bank of America:Organization]] terminates Maintenance Services pursuant to this Agreement. [[Bank of America:Organization]] may terminate Maintenance Services for convenience at any time in accordance with the Section entitled Termination of the Agreement. If [[Bank of America:Organization]] terminates the Maintenance Services, [[Bank of America:Organization]] shall have the right to reinstate the Maintenance Services without paying any reinstatement fee. During the initial Maintenance Term and any renewal term, Maintenance Fees shall be paid in the increments described below under Payment Terms.
Benchmark Replacement. Notwithstanding anything to the contrary herein or in any other Loan Document, upon the occurrence of a Benchmark Transition Event, Agent and Borrower Agent may amend this Agreement to replace the then-current Benchmark with a Benchmark Replacement. Any such amendment with respect to a Benchmark Transition Event will become effective at 5:00 p.m. on the fifth (5th) Business Day after Agent has posted such proposed amendment to all affected Lenders and Borrower Agent so long as Agent has not received, by such time, written notice of objection to such amendment from Lenders comprising the Required Lenders. No replacement of a Benchmark with a Benchmark Replacement pursuant to this Section 2.12(d)(iv) will occur prior to the applicable Benchmark Transition Start Date.
Replacement Notes. Upon the consummation of any assignment to a Purchaser hereunder, the transferor Lender, the Administrative Agent and the Borrowers shall, if the transferor Lender or the Purchaser desires that its Loans be evidenced by promissory notes, make appropriate arrangements so that, upon cancellation and surrender to the Borrowers of the previously issued promissory notes (if any) held by the transferor Lender, new promissory notes issued hereunder or, as appropriate, replacement promissory notes are issued to such transferor Lender, if applicable, and new promissory notes or, as appropriate, replacement promissory notes, are issued to such Purchaser, in each case in principal amounts reflecting their respective Revolving Loan Commitments (or, if the applicable Termination Date has occurred, their respective Revolving Credit Obligations) or Term Loan Commitment or Term Loans, as applicable, as adjusted pursuant to such assignment.
