Binding Effect. Subject to the foregoing restriction on assignment by Executive, this Agreement shall inure to the benefit of and be binding upon each of the parties; the affiliates, officers, directors, agents, successors and assigns of the Company and HoldCo; and the heirs, devisees, spouses, legal representatives and successors of Executive.

Subject to the foregoing restriction on assignment by Executive, thisThis Agreement shall be binding upon and inure to the benefit of ​ and be binding upon each of the parties; the affiliates, officers, directors, agents, successorsExecutive and assigns of the Companytheir respective permitted successors, assigns, heirs and HoldCo; and the heirs, devisees, spouses, legal representatives and successors of Executive.representatives.

Subject to the foregoing restriction on assignment by Executive, thisThis Agreement shall be binding upon and inure to the benefit of ​ and be binding upon each of the parties; the affiliates, officers, directors, agents, successorsExecutive and assigns of the Companytheir respective successors, assigns, heirs and HoldCo; and the heirs, devisees, spouses, legal representatives and successors of Executive.representatives.

Binding Effect. Subject to the foregoing restriction on assignment by Executive, thisThis Agreement shall inure to the benefit of and be binding upon each of the parties; the affiliates, officers, directors, agents, successors and assigns of the Company and, subject to the restrictions on transfer set forth herein, be binding upon you and HoldCo;your heirs, beneficiaries, executors, legal representatives, successors and the heirs, devisees, spouses, legal representatives and successors of Executive.assigns.

Binding Effect. Subject to the foregoing restriction on assignment by Executive, thisEffect/Assignment. This Agreement shall inure to the benefit of and be binding upon eachthe parties hereto and their respective heirs, executors, personal representatives, estates, successors (including, without limitation, by way of merger) and assigns. Notwithstanding the provisions of the parties;immediately preceding sentence, neither the affiliates, officers, directors, agents, successors and assignsDirector nor the Company shall assign all or any portion of this Agreement without the prior written consent of the Company and HoldCo; and the heirs, devisees, spouses, legal representatives and successors of Executive.other party.

Binding Effect. Subject to the foregoing restriction on assignment by Executive, thisThis Agreement shall be binding upon and inure to the benefit of and be binding upon each ofenforceable by the parties; the affiliates, officers, directors, agents,parties hereto and their respective successors and assigns (including any direct or indirect successor by purchase, merger, consolidation or otherwise to all or substantially all of the Companybusiness or assets of the Company), spouses, heirs and HoldCo;personal and the heirs, devisees, spouses, legal representatives and successors of Executive.representatives.

Binding Effect. Subject to the foregoing restriction on assignment by Executive,Effect and Benefits. The rights and obligations of Company and Executive under this Agreement shall inure to the benefit of and shall be binding upon each of the parties; the affiliates, officers, directors, agents,respective heirs, personal representatives, successors and assigns of the Company and HoldCo; and the heirs, devisees, spouses, legal representatives and successors of Executive.
