Governing Law; Binding Effect. This First Amendment shall be governed by and construed in accordance with the laws of the State of Ohio and shall be binding upon and inure to the benefit of the Borrower and the Lender and their respective successors and assigns.

Governing Law; Binding Effect. This Second Amendment shall be governed by and construed in accordance with the laws of the State of Ohio and shall be binding upon and inure to the benefit of the Borrower and the Lender and their respective successors and assigns.

Benefit and Binding Effect; Governing Law. This Agreement shall bind and inure to the benefit of the successors and assigns of the parties hereto. This Agreement shall be governed by and construed in accordance with the laws of the state in which the Premises is located, without regard to conflict of law principles.

Governing Law; Assignment; Binding Effect. This Plan shall be governed by the laws of the State of Delaware, except to the extent preempted by federal law. This Plan shall be binding upon and inure to the benefit of the parties hereto and their permitted successors and assigns.

Binding Effect. This Agreement shall be binding upon and inure [[Organization A:Organization]] the benefit of Company, Executive, and Executive’s personal representatives, beneficiaries, heirs, and successors. Company will require any successor (whether direct or indirect, by purchase, merger, consolidation or otherwise) [[Organization A:Organization]] all or substantially all of the business and/or assets of Company [[Organization A:Organization]] expressly assume and agree [[Organization A:Organization]] perform this Agreement in the same manner and [[Organization A:Organization]] the same extent that Company would be required [[Organization A:Organization]] perform it if no such succession has taken place.

Binding Effect. The covenants, agreements, terms, provisions and conditions of this Lease shall bind and benefit the successors and assigns of the parties hereto with the same effect as if mentioned in each instance where a party hereto is named or referred to, except that no violation of the provisions of Section 13 hereof shall operate to vest any rights in any successor or assignee of Tenant. A facsimile signature on this Lease shall be equivalent to, and have the same force and effect as, an original signature.
