Binding Effect. Subject to the foregoing restriction on assignment, this Agreement shall inure to the benefit of and be binding upon each of the parties, the affiliates, officers, directors, agents, successors and assigns of the Company and HoldCo, and the heirs, devisees, spouses, legal representatives and successors of Executive.

Subject to the foregoing restriction on assignment,assignment by Executive, this Agreement shall inure to the benefit of and be binding upon each of the parties,parties; the affiliates, officers, directors, agents, successors and assigns of the Company and HoldCo,HoldCo; and the heirs, devisees, spouses, legal representatives and successors of Executive.

Subject to the foregoing restriction on assignment, thisThis Agreement shall inure to the benefit of and shall be binding upon each of the parties, the affiliates, officers, directors, agents, successors and assigns of the Company and HoldCo,the Executive and thetheir respective heirs, devisees, spouses, legal representativesexecutors, personal representatives, successors and successors of Executive.permitted assigns.

Subject to the foregoing restriction on assignment, thisThis Agreement shall inure to the benefit of and be binding upon each of the parties, the affiliates, officers, directors, agents, successors and assigns of the Company and, subject to the restrictions on transfer set forth herein, be binding upon you and HoldCo,your heirs, beneficiaries, executors, legal representatives, successors and the heirs, devisees, spouses, legal representatives and successors of Executive.assigns.

Binding Effect. Subject to the foregoing restriction on assignment, thisThis Agreement shall be binding upon and inure to the benefit of and be binding upon each ofenforceable by the parties, the affiliates, officers, directors, agents,parties hereto and their respective successors and assigns (including any direct or indirect successor by purchase, merger, consolidation or otherwise to all or substantially all of the Companybusiness or assets of the Company), spouses, heirs and HoldCo,personal and the heirs, devisees, spouses, legal representatives and successors of Executive.representatives.

Binding Effect. Subject to the foregoing restriction on assignment, thisThis Agreement shall be binding upon and inure to the benefit of and be binding upon each ofExecutive, the parties, the affiliates, officers, directors, agents, successorsCompany, and assigns of the Company Releasees, and HoldCo,their respective representatives, predecessors, heirs, successors, and the heirs, devisees, spouses, legal representatives and successors of Executive.assigns.

Subject to the foregoing restriction on assignment, thisThis Agreement shall be binding upon and inure to the benefit of ​ and be binding upon each of the parties, the affiliates, officers, directors, agents, successorsExecutive and assigns of the Companytheir respective successors, assigns, heirs and HoldCo, and the heirs, devisees, spouses, legal representatives and successors of Executive.representatives.

Binding Effect. Subject to the foregoing restriction on assignment, thisEffect/Assignment. This Agreement shall inure to the benefit of and be binding upon eachthe parties hereto and their respective heirs, executors, personal representatives, estates, successors (including, without limitation, by way of merger) and assigns. Notwithstanding the provisions of the parties,immediately preceding sentence, neither the affiliates, officers, directors, agents, successors and assignsDirector nor the Company shall assign all or any portion of this Agreement without the prior written consent of the Company and HoldCo, and the heirs, devisees, spouses, legal representatives and successors of Executive.other party.

Binding Effect. Subject to the foregoing restriction on assignment, thisThis Agreement shall be binding upon and inure to the benefit of and be binding upon eachenforceable by the parties hereto and their respective successors, assigns (including any direct or indirect successor by purchase, merger, consolidation, or otherwise to all or substantially all of the parties,business or assets of the affiliates, officers, directors, agents, successorsCompany), spouses, heirs, and assignspersonal and legal representatives. This Agreement shall continue in effect regardless of whether Indemnitee continues to serve as an officer or director of the Company and HoldCo, andor another enterprise at the heirs, devisees, spouses, legal representatives and successors of Executive.Company's request.
