Warranty Bill of Sale. Following receipt of the Purchase Price by Seller, Buyer shall have received Seller’s signed Warranty Bill of Sale in the form attached hereto as [Schedule C];

Bill of Sale, Assignment and Assumption. A Bill of Sale, Assignment and Assumption of Leases and Contracts in the form of [Exhibit C] attached hereto (the “Assignment”), executed by [[Seller:Organization]];

“Bill of Sale” means the Warranty Bill of Sale for the Aircraft.

THIS BILL OF SALE (“Bill of Sale”) is made as of May ​, 2019 by [[Seller:Organization]], [[Seller:Organization]] (“[[Organization A:Organization]]”) to [[Purchaser:Organization]], [[Purchaser:Organization]] (“[[Organization C:Organization]]”).

BILL OF SALE: Seller shall deliver to Buyer at the Closing an Absolute Bill of Sale for all of the assets to be purchased pursuant to this Contract to include but not limited to all furniture, fixtures and equipment, and other personal property included in this sale, as per the Schedule "A" list attached hereto. Seller warrants that it has good and marketable title to the assets transferred by the Bill of Sale, free and clear of all liens and encumbrances, except any liens or encumbrances specifically set forth on the Bill of Sale.
