Packaging Process. The Packaging Process to be followed by Supplier when providing the Packaging Services is defined in Annex 5 (Packaging Process).

Process Agent. For the purposes of [Section 13(c)] of the ISDA Form:

Review Process. Before any paper is submitted for publication or oral presentation is made, which publication or presentation is subject to review under [Section 12.5.1] or [Section 12.5.2], the publishing or presenting Party (the “Publishing Party”) shall deliver a then-current copy of the paper or presentation materials to the non-publishing Party no later than ​ before submission for publication or presentation (or ​ in advance in the case of an abstract). The non-publishing Party will review such paper or presentation materials and provide its comments to the Publishing Party within ​ (or ​ in the case of an abstract) after the non-publishing Party’s receipt of such paper or presentation materials. The Publishing Party shall comply with the other Party’s request to delete the other Party’s Confidential Information in any such paper or presentation and will, at the other Party’s request, withhold publishing any such paper or making any such presentation for an additional ​ in order to permit the Parties to obtain Patent protection for any invention disclosed in such paper or presentation.

Claims Process. Notwithstanding anything to the contrary in this Agreement, the Sellers do not have any individual right to assert any Liability Claim under this Article 11, and any and all Liability Claims on behalf of the Sellers may be brought only by the Seller Representative.

The Parties shall attempt to resolve any and all disputes, claims or controversies arising out of or relating to this Agreement promptly by negotiation between executives who have authority to settle the controversy. If such disputes, claims or controversies are not resolved through such negotiation as set forth in [Section 15.10.1], then they shall be submitted for final and binding arbitration pursuant to the arbitration clause set forth below. Either Party may initiate arbitration with respect to the matters submitted to negotiation by filing a written demand for arbitration at any time following the initial negotiation session. Notwithstanding the foregoing, any dispute between the Parties as to whether entering into a Licensing Transaction would have a Material Impact shall be resolved as set forth in [Section 7.5.5].

Process Improvements. The Parties currently envisage to improve the manufacturing process for the Products in order to reduce processing times resulting in an increased output of Batches per calendar week. If the Parties mutually agree that the currently envisaged improved process has been successfully established at APCETH’s Facility, # ​, and # ​.

Process Agent. Subject to the terms of the MSA, Patheon, with technical support from the client, will conduct process validation for commercial products consistent with the regulations and guidelines for the intended market. The Client will support the process validation program by supplying development details, technical Specifications and submission details. Following the initial process and packaging validation, Patheon and the Client will be responsible to periodically assess the validated state of the product and conduct revalidation as necessary.
