Target Bonus. During the Employment Term, Executive will be eligible to receive an annual cash bonus, with a target amount equal to a percentage of Executive’s Base Salary for each full calendar year as determined by the Compensation Committee from time to time in its sole and absolute discretion (the “Target Bonusand the actual amount awarded, the “Actual Bonus”), based upon achievement of corporate performance (including financial) and/or personal performance objectives to be established by the Compensation Committee from time to time and subject to the terms of the applicable bonus plan(s). To receive payment of any Actual Bonus,

Bonus. In addition to Annual Base Salary, Executive shall be eligible to earn an annual performance bonus of up to 35% of Executive’s Annual Base Salary, which bonus shall be earned upon Executive’s attainment of objectives to be determined by the Board (or the compensation committee thereof) and continued employment with the Company (the “Target Performance Bonus”). The amount of and Executive’s eligibility for the Target Performance Bonus shall be determined in the sole discretion of the Board (or the compensation committee thereof). If earned, any Target Performance Bonus shall be paid to Executive, less authorized deductions and applicable withholdings, on or before March 15th following the calendar year during which such bonus was earned. Except as provided in [Sections 3.2 and 4.2]2], Executive shall be eligible to earn the Target Performance Bonus only if Executive is actively employed with the Company on both the determination and payment dates for the Target Performance Bonus (and has not given or received notice of termination or resignation).

Bonus. For each calendar year during the Term, the Executive shall also be eligible to receive a bonus (the "Bonus") with a target opportunity equal to up to 75% of Base Salary (the "Target Bonus"), and subject to a maximum bonus payment in an amount, determined based on the achievement of performance targets (both financial and qualitative) established each year by the Board. Further, if the Company establishes a bonus plan or program in which the Company's executives are generally permitted to participate, then the Executive shall be entitled to participate in such plan or program. The terms and conditions of the Executive's participation in, and/or any award under, any such plan or program shall be in accordance with the controlling plan or program documents.

Annual Bonuses. In addition to the Base Salary, during the Term of Employment, and subject to subsection # below, in each calendar year of the Term of Employment, Executive shall be eligible to receive an annual bonus (the “Annual Bonus”) payable in cash, pursuant to the criteria and goals established and administered by the Board or a committee thereof to whom such responsibility has been delegated by the Board (the “Committee”), with a target Annual Bonus opportunity of not less than 50% of Executive’s Base Salary (the “Target Annual Bonus”); provided, that Executive’s Annual Bonus for 2020 will be not less than the full Target Annual Bonus. The Annual Bonus payable to Executive shall be determined and payable as soon as practicable after year-end for such year (but no later than March 15th). To be entitled to receive any Annual Bonus, except as otherwise provided in Section 4(c), Executive must remain employed through the day upon which the Annual Bonus is paid.

Bonus. During the Term, Executive will be eligible to participate in an annual incentive program established by the Board. Executive’s annual incentive compensation under such incentive program (the “Annual Bonus”) shall be targeted at 40% of Executive’s Annual Base Salary. The Annual Bonus payable under the incentive program shall be based on the achievement of performance goals to be determined by the Board. The payment of any Annual Bonus pursuant to the incentive program shall be subject to Executive’s continued employment with the Company through the date of payment, except as otherwise provided in Section 4(b).

Annual Bonus Opportunity. During the Employment Period, the Executive shall participate in the [[Company:Organization]] Executive Cash Incentive Compensation Plan, as in effect from time to time (the “Cash Incentive Plan”), pursuant to which the Executive will have the opportunity to earn, for each fiscal year of the Company, an annual bonus (the “Annual Bonus”), with a target Annual Bonus opportunity equal to 110% of the Annual Base Salary (the “Target Bonus”) and a maximum Annual Bonus opportunity equal to 200% of the Target Bonus. The actual amount of the Annual Bonus paid for each applicable fiscal year, if any, shall be determined by the Compensation Committee on the basis of the achievement of pre-established performance goals relating to Executive’s performance and the Company’s performance, established by the Compensation Committee, in consultation with the Executive, within the first 90 days of each fiscal year. Payment of any Annual Bonus will be subject to the Executive’s continued employment through the applicable payment date, except as provided in the Cash Incentive Plan.
