Commercially Reasonable Best Efforts. Upon the terms and subject to the conditions set forth in this Agreement, each of the parties agrees to use its commercially reasonable best efforts to take, or cause to be taken, all actions, and to do, or cause to be done, and to assist and cooperate with the other parties in doing, all things necessary, proper or advisable to consummate and make effective, in the most expeditious manner practicable, the Exchange and the other transactions contemplated by this Agreement. The Parties hereto will use their commercially reasonable best efforts and cooperate with one another # in promptly determining whether any filings are required to be made or consents, approvals, waivers, permits or authorizations are required to be obtained (or, which if not obtained, would result in an event of default, termination or acceleration of any agreement or any put right under any agreement) under any applicable law or regulation or from any governmental authorities or third parties in connection with the transactions contemplated by this Agreement, and # in promptly making any such filings, in furnishing information required in connection therewith and in timely seeking to obtain any such consents, approvals, permits or authorizations. The Parties hereto shall mutually cooperate in order to facilitate the achievement of the benefits reasonably anticipated from the Exchange.

Subject to the terms and subject to the conditions set forth in this Agreement, each ofherein provided, the parties agreesagree to use its commerciallyall reasonable best efforts to take, or cause to be taken, all actions,actions and to do, or cause to be done, and to assist and cooperate with the other parties in doing, all things necessary, proper or advisable to consummate and make effective, in the most expeditious manner practicable,effective as promptly as practicable the Exchange Transaction and the other transactions contemplated by this Agreement. The Parties hereto will use their commercially reasonable best efforts andto cooperate with one anotherthe others in connection with the foregoing, including using its reasonable efforts to # in promptly determining whether anyobtain all waivers, consents and approvals from other parties to loan agreements, leases, mortgages and other contracts necessary for the consummation of the Exchange Transaction, # make all filings are required to be made orwith, and obtain all consents, approvals, waivers, permits orapprovals and authorizations that are required to be obtained (or, which if not obtained, would result in an eventfrom, Governmental Authorities, # lift or rescind any injunction, restraining order, decree or other order adversely affecting the ability of default, terminationthe parties hereto to consummate the Exchange Transaction, # effect all necessary registrations and filings and submissions of information requested by Governmental Authorities, and # fulfill all conditions to this Agreement. The parties shall use all reasonable efforts to prevent the entry, enactment or accelerationpromulgation of any agreementthreatened or any put right under any agreement) under any applicable lawpending preliminary or permanent injunction or other order, decree or ruling or statute, rule, regulation or from any governmental authorities or third parties in connection withexecutive order that would adversely affect the transactions contemplated by this Agreement, and # in promptly making any such filings, in furnishing information required in connection therewith and in timely seeking to obtain any such consents, approvals, permits or authorizations. The Parties hereto shall mutually cooperate in order to facilitate the achievementability of the benefits reasonably anticipated fromparties hereto to consummate the Exchange.Exchange Transaction.

Section # Commercially Reasonable Best Efforts.
