Benefits and Commuting/Travel Allowance. You will be eligible to participate in the Company’s standard benefit programs, subject to the terms and conditions of such plans. The Company may, from time to time, change these benefits in its discretion. Such benefits include medical insurance for employees and dependents, and a 401(k) plan which includes an employer contribution feature of up to 3% of salary, even if any employee does not otherwise participate in such 401(k) plan. Additional information regarding these benefits is available for your review upon request_ The Company agrees to reimburse you for reasonable # commuting expenses actually incurred in connection with your commute to the Company’s headquarters, and # living expenses actually incurred in connection with your work at the Company’s headquarters, in an aggregate amount up to a maximum of per year, plus a single one-time payment, to be made upon commencement of employment, of related to travel costs, in each case upon submission of receipts or other documents evidencing such expenses satisfactory to the Company (“Commuting/Travel Allowance”). The Commuting/Travel Allowance is intended to cover your travel to and from Ventura, California and a portion of the cost of a local apartment in the San Francisco Bay Area, and meal costs incurred while you are performing services at the Company’s headquarters. The Commuting/Travel Allowance (or portions thereof) may be treated as taxable income to you, depending upon the nature of the costs incurred and other factors, and you shall be solely responsible for any taxes which may be associated with the Commuting/Travel Allowance. The Company makes no representations, guarantees or warranties with respect to the potential taxability of any payments.

We have agreed that you will be commuting in your new role with the Company. During this commuting period you will receive a special allowance reflecting the pre-tax payment of per month (paid bi-weekly). This is approximately per year which, on an after-tax basis, represents a reasonable cost for local housing and to offset travel costs associated with regular trips to Michigan.

She will not use Aircraft under this Agreement for any trip for which the primary purpose is commuting travel.

Commuting Expenses. The Corporation shall reimburse the Executive for the actual airfare and other travel expenses for one round trip by the Executive from Chicago, Illinois to Minneapolis, Minnesota for each week during which such travel is completed during the Executive’s Employment Period, provided such travel arrangements are made in accordance with the Corporation’s travel policies and procedures, and provided that such commuting expense reimbursement obligation shall cease upon the earlier of # December 31, 2016 or # any such time as the Executive moves his permanent residence to Minneapolis, Minnesota. The Corporation’s relocation reimbursement obligations under this [Section 4(f)] are subject to any withholdings required under applicable law and the Executive’s submission of appropriate receipts, and do not include any reimbursement for any commuting expenses not specifically identified in this [Section 4(f)].

Each Outside Director’s reasonable, customary and documented travel expenses to Board meetings will be reimbursed by the Company.

Expense Allowance. The Company shall pay directly, or advance funds to Executive or reimburse Executive for, all expenses reasonably incurred by him in connection with the performance of his duties as an employee or consultant hereunder, upon the submission to the Company of itemized expense reports, receipts or vouchers in accordance with its then customary policies and practices.

Severance Allowance. The Company shall provide Employee [the applicable Severance Benefits described in [Section 4.1] of the Executive Severance Plan, as amended], subject to such deductions as required by law including, if applicable, repayment of the pay advance made to Employee on or about , that is not deducted from other amounts paid or payable to Employee.

Severance Allowance. Provided the Employee timely executes, returns, and does not revoke this Agreement and continues to provide services to the company up to and including the Termination Date, the Company shall provide the following consideration:
