Research Programs and Plans. On a Target-by-Target basis, the Parties shall conduct research program for such Target during the applicable Research Term, with the goal of identifying one or more Clinical Candidates Directed Against such Target for further Development and Commercialization as a Product as set forth herein (the “[[Unknown Identifier]] Research Program”, the “​ Research Program” and the “[[Unknown Identifier]] Research Program,” respectively). Each Research Program shall be conducted pursuant to a research plan and budget detailing: # the activities to be undertaken by Stoke in the conduct such Research Program, which activities shall include preclinical research through IND-enabling toxicology studies, # the modality(ies) (i.e., class of compound) of Molecules that will be researched under the Research Plan, # the timeframes in which such activities are expected to be completed, and # the criteria for a Molecule to meet in order to be considered as a potential Molecule (such criteria the “Critical Success Factors,” such plan the “[[Unknown Identifier]] Research Plan,” “​ Research Plan” and[[Unknown Identifier]] Research Plan,” respectively, and such budget the “[[Unknown Identifier]] Research Budget,” “​ Research Budget” and[[Unknown Identifier]] Research Budget,” respectively). The initial Research Plan and corresponding Research Budget for each Research Program are attached hereto as [Schedule 4.1]. During the Research Term for a given Target, each Party shall have the right to propose updates or amendments to the applicable Research Plan and Research Budget, provided that any such updates or amendments shall be subject to review and discussion by the JDC, and review and approval by the JSC. Without limiting the JDC’s rights to review and discuss and the JSC’s rights to review and approve any updates or amendments to a Research Plan or Research Budget, and subject to the terms and conditions of this Agreement, Stoke shall have the right, without seeking JDC review or JSC approval, to make operational decisions with respect to the performance of any research activity assigned to it to the extent consistent with the then-current Research Plan and Research Budget.

Benefit Plans and Programs. The Executive shall be entitled to participate in all compensation or employee benefit plans or programs and receive all benefits and perquisites for which salaried employees of the Company generally are eligible under any plan or program now or established later by the Company on the same basis as similarly situated senior executives of the Company. The Executive may participate [[Organization B:Organization]] extent permissible under the terms and provisions or such plans or programs, in accordance with program provisions. Nothing in this Agreement will preclude the Company from amending or terminating any of the plans or programs applicable to salaried employees or senior executives of the Company as long as such amendment or termination is applicable to all salaried employees or senior executives, as the case may be, so long as such plans or programs are replaced with plans no less favorable, in the aggregate, than existing plans.

Benefit Plans and Programs. As of the Separation Date, Employee will cease to earn, accrue, or be eligible for benefits, coverage, or perquisites under the benefit plans and programs provided to employees of the Company, with the sole exception of the specific benefits promised in Section 3, and with the exception of health benefits which shall continue for the full month in which the Separation Date occurs in accordance with their terms as of immediately prior to the Separation Date. Any vested benefits to which Employee may be entitled under any Company-sponsored 401(k) plan will be provided in accordance with and subject to the terms of that plan, including any terms regarding the timing, form, and manner of contributions and payment. Any grant of equity units to Employee shall be governed by the terms of the Verra Mobility Corporation 2018 Equity Incentive Plan and related agreements.

Benefit Programs. You will eligible to participate in any plans, programs, or forms of compensation or benefits that the Company or its Affiliates provide to the class of employees that includes you, on a basis not less favorable than that provided to such class of employees, including without limitation, group medical, disability and life insurance, vacation and sick leave, and retirement. It is understood that the Board of Directors of the Company may, in its sole discretion, establish, modify or terminate such plans, programs or benefits.

Benefit Plans and Programs. As of the Separation Date, Executive will cease to earn, accrue, or be eligible for benefits, coverage, or perquisites under the benefit plans and programs provided to employees of the Company, with the sole exception of the specific benefits promised in Section 3. After the Separation Date, Executive shall be eligible for continuation coverage under the Company’s health plan pursuant to COBRA. Any vested benefits to which Executive may be entitled under any Company‑sponsored 401(k) plan will be provided in accordance with and subject to the terms of that plan, including any terms regarding the timing, form, and manner of contributions and payment. Except as specifically provided in Section 3 of this Agreement, any grant of equity units to Executive shall be governed by the terms of the Verra Mobility Corporation 2018 Equity Incentive Plan (the “Equity Plan”) and related agreements.

Benefit Programs. You may choose to participate in any and all benefit programs that the Company establishes and makes available to its employees from time to time, provided you are eligible under (and subject to all provisions of) the plan documents governing those programs. This presently includes (among other benefits) health and dental insurance, paid holidays, and a 401(k) savings program. Our benefits also include three (3) weeks of paid vacation per calendar year to be taken at such times as may be approved in advance by the Company, which approval will not be unreasonably withheld. The number of vacation days for which you are eligible shall accrue at the rate of 1.25 days per month that you are employed during such calendar year. Where a particular benefit is subject to a formal plan, eligibility to participate in and receive any particular benefit is governed solely by the applicable plan document.

During the term of his employment hereunder, Executive shall be entitled to participate in all health and welfare and other employee benefit plans and programs maintained by the Company, as in effect from time to time, to the extent consistent with applicable law and the terms of the applicable employee benefit plans and programs.

Benefit Programs. The Company reserves the right to change, add, or cease any particular benefit without notice, in its sole discretion. At present, the Company offers eligible employees health insurance, dental insurance, and a 401(k) savings program.
