Welfare Benefit Plans. During the Employment Period, Executive and Executive’s family shall be eligible for participation in, and shall be eligible to receive all benefits under, the welfare benefit plans, practices, policies and programs provided by the Company, including, without limitation, medical, prescription, dental, disability, employee life, group life, accidental death and travel accident insurance plans and programs on the same basis as similarly situated executives of the Company (the “Welfare Plans”).

During the Employment Period, Executive and Executive’Employee and/or Employee’s familyfamily, as the case may be, shall also be eligible for participation in,in and shall be eligible to receive all benefits under, theunder all welfare benefit plans, practices, policies and programs provided by the Company, including,Employer (including, without limitation, medical, hospitalization, prescription, dental, disability, employee life, group life, accidental death and dismemberment, and travel accident insurance plans and programs on the same basis as similarly situated executives of the Company (the “Welfareprograms) (“Welfare Benefit Plans”)., in each case provided that senior management is eligible to participate therein.

Welfare Benefit Plans.Other Benefits; Insurance. During the Employment Period,term of Executive's employment under this Agreement, if and to the extent eligible, Executive will be entitled to participate in all Company Group Health Plans, group life, disability, and Executive’s family shall be eligible for participation in,accidental death and shall be eligible to receive all benefits under, the welfare benefit plans, practices, policies and programs provided by the Company,dismemberment insurance or plan, then in effect, including, without limitation, any supplemental disability coverage available to similarly situated executive employees ("Company Welfare Benefit Plans"). For purposes of this Agreement, "Company Group Health Plans" means all operative medical, prescription, dental, disability, employee life, group life, accidental death and travel accident insurance plans and programsvision plans. Coverage under the Company Welfare Benefit Plans will be provided on the same basis asgenerally applicable to similarly situated executivesemployees of the Company; provided, however, that nothing contained in this Agreement will, in any manner whatsoever, directly or indirectly, require or otherwise prohibit the Company (the “Welfare Plans”)from amending, modifying, curtailing, discontinuing, or otherwise terminating any Company Welfare Benefit Plan at any time (whether before or after the date of Executive's termination).

During the Employment Period,Except as otherwise limited by applicable law, Executive and Executive’s family shall beand/or her eligible for participation in, anddependents shall be eligible to participate in and shall receive all benefits under,under the Company’s welfare benefit plans, practices, policies and programs provided by the Company, including, without limitation, medical, prescription, dental, disability, employee life, group life, accidental death and travel accident insurance plans and programs on the same basis as similarly situated executivesapplicable generally to other senior executive officers of the Company (the “Welfare Plans”).in accordance with the terms of the plans, as may be amended from time to time.

WelfareEmployee Benefit Plans. During the Employment Period, Executive and Executive’s family shall be eligible for participation in,entitled to participate in and receive the benefits of any pension or other retirement benefit plan, welfare benefit plan or similar employee benefit plans or arrangements (including stock option plans, short- or long-term disability plans, life insurance programs, and health insurance) made available from time to time to employees of the Employer in accordance with the provisions of such plans. The base salary and any bonus payable to Executive under [Section 4] shall be eligibleconsidered covered compensation for purposes of such plans to receive all benefits under, the welfare benefit plans, practices, policies and programs providedmaximum extent permitted by the Company, including, without limitation, medical, prescription, dental, disability, employee life, group life, accidental death and travel accident insurance plans and programs onterms of such plans. Nothing paid to Executive under any plan or arrangement presently in effect or made available in the same basis as similarly situated executivesfuture shall be deemed to be in lieu of the Company (the “Welfare Plans”).amounts payable to Executive pursuant to [Section 4(a)] hereof.
