A Participant shall designate his Beneficiary by completing and signing a Beneficiary Designation Form, and returning it to the Committee or its designated agent. A Participant shall have the right to change his Beneficiary by completing, signing and submitting to the Committee a revised Beneficiary Designation Form in accordance with the Committee’s rules and procedures, as in effect from time to time. If the Participant names someone other than his spouse as a Beneficiary, a spousal consent, in the form designated by the Committee, must be signed by that Participant’s spouse and returned to the Committee. Upon acknowledgement by the Committee of a revised Beneficiary Designation Form, all Beneficiary designations previously filed shall be deemed canceled. The Committee shall rely on the last Beneficiary Designation Form both # filed by the Participant and # acknowledged by the Committee, prior to the Participant’s death.

No designation or change in designation of a Beneficiary shall be effective until received by the Participant’s death.Committee or its designated agent. In the event a Participant becomes divorced or legally separated from his or her spouse, any Beneficiary Designation Form designating such spouse as a beneficiary shall automatically be null and void as of the date of such divorce or legal separation; provided, however, that the Participant may designate such spouse (or former spouse) as a beneficiary under a new Beneficiary Designation Form.

A Participant shall designate his Beneficiarymay select one or more Beneficiaries by completing and signing a Beneficiary Designation Form, and returning it tofiling with the Committee a written designation of such Beneficiaries on such forms as may be prescribed by the Committee and may, from time to time, amend or its designated agent. A Participantrevoke such designation. If no Beneficiary survives the Participant, the Qualified Plan Beneficiary shall be the Beneficiary, or if no Qualified Plan Beneficiary survives, the executor or administrator of the Participant's estate shall be deemed to be the Beneficiary. Notwithstanding the foregoing, a married Participant's initial designation and/or any subsequent change in Beneficiary designation to someone other than or in addition to his or her Eligible Spouse shall not be effective unless the Eligible Spouse consents in writing to such designation. The Committee shall have the rightauthority to change his Beneficiary by completing, signing and submitting to the Committee a revised Beneficiary Designation Form in accordance with the Committee’s rules and procedures, as in effectestablish from time to time. If the Participant names someone other than his spouse as a Beneficiary, a spousal consent, in the form designated by the Committee, must be signed by that Participant’s spousetime additional rules and returnedprocedures with respect to the Committee. Upon acknowledgement by the Committeedesignation of a revised Beneficiary Designation Form, all Beneficiary designations previously filed shall be deemed canceled. The Committee shall rely on the last Beneficiary Designation Form both # filed by the Participant and # acknowledged by the Committee, prior to the Participant’s death.Beneficiaries hereunder.

ASection # Designation Procedure. Each Participant shallmay designate one beneficiary or several beneficiaries (such beneficiary or beneficiaries of a Participant herein referred to as the Participant’s “Beneficiaries”) to receive any balance, or portion thereof, of his Beneficiaryor her Accounts which may be payable under the Plan upon his or her death. To be effective, each designation must be in writing on a form provided by completing and signing a Beneficiary Designation Form, and returning it to the Committee or its designated agent. A Participant shall have the right to change his Beneficiary by completing, signing and submitting to the Committee a revised Beneficiary Designation Form in accordance with the Committee’s rules and procedures, as in effect from time to time. If the Participant names someone other than his spouse as a Beneficiary, a spousal consent, in the form designated by the Committee, must be signed by that Participant’s spouse and returned to the Committee. Upon acknowledgement by the Committee of a revised Beneficiary Designation Form, all Beneficiary designations previously filed shall be deemed canceled. The Committee shall rely on the last Beneficiary Designation Form both # filed by the Participant and # acknowledged byfiled with the Committee,Committee prior to the Participant’s death. Each Participant may name one or more primary Beneficiaries and one or more contingent Beneficiaries; provided that if a Participant names more than one Beneficiary, the Participant shall designate the percentage payable to each. A Participant may from time to time revoke or change his or her Beneficiaries designation without the consent of any Beneficiary by filing a new designation with the Committee, and each change will revoke all prior designations of Beneficiaries. The last such designation of Beneficiaries received by the Committee shall be controlling; provided, however, that no designation, or change or revocation thereof, shall be effective unless received by the Committee prior to the Participant’s death, and in no event shall it be effective as of a date prior to such receipt.

Beneficiary Designation; Change. A Participantparticipant shall designate his or her Beneficiary by completing and signing a Beneficiary Designation Form, and returning itdelivering to the CommitteeCorporate Secretary’s Office a written statement or its designated agent.instructions in a form provided by the Company (the “Beneficiary Designation Form”). If the Participant names someone other than his spouse as a Beneficiary, a spousal consent, in the form designatedNo Beneficiary Designation Form shall be valid unless accepted by the Committee, must be signed by that Participant’Corporate Secretary’s spouse and returned toOffice of the Committee.Company. Upon acknowledgementthe acceptance by the CommitteeCorporate Secretary’s Office of the Company of a revisednew Beneficiary Designation Form, all Beneficiary designations previously filed shall be deemed canceled. The CommitteeCorporate Secretary’s Office of the Company shall be entitled to rely on the last Beneficiary Designation Form both # filed by the Participantparticipant and # acknowledgedaccepted by the Committee,Corporate Secretary’s Office of the Company prior to the Participant’participant’s death.

ADesignation of Beneficiary. Each Participant shallmay designate his Beneficiarya beneficiary or beneficiaries (which beneficiary may be an entity other than a natural person) to receive any payments that may be made after the Participant's death. Such designation may be changed or canceled at any time without the consent of any such beneficiary. Any such designation, change or cancellation must be made on a form or in a manner approved by completing and signing a Beneficiary Designation Form, and returning itor acceptable to the Committee and shall not be effective until received by the Committee. If no beneficiary has been named, or itsthe designated agent.
