Section # USA PATRIOT Act Notification. Each Bank subject to the USA PATRIOT Act and the Beneficial Ownership Regulation hereby notifies the Credit Parties that pursuant to the requirements of the USA PATRIOT Act and the Beneficial Ownership Regulation, it is required to obtain, verify and record information that identifies each Credit Party, which information includes the name and address of each Credit Party and other information that will allow such Bank to identify each Credit Party in accordance with the USA PATRIOT Act and the Beneficial Ownership Regulation.

SECTION #Beneficial Ownership Certificate. The information included in the Beneficial Ownership Certification delivered on or prior to the Sixth Amendment Effective Date, as updated from time to time in accordance with this Agreement, is true and correct in all respects.

Ownership of Technical Information. As between the Parties, # all Intellectual Property Rights and inventions related primarily to a Product, whether developed pursuant to this Agreement or otherwise, shall be owned solely by TRIS during and after the Term of such Product, and # all Intellectual Property Rights used in the formulation, manufacture, Labeling and/or Packaging of a Product (excluding AYTU Marks), whether developed pursuant to this Agreement or otherwise shall be solely owned by TRIS during and after the Term of such Product.

Non Disclosure, Use and Reproduction of Confidential Information - The Employee will keep all the Confidential Information strictly confidential, and will not, either directly or indirectly, either during or subsequent to employment with the Company, disclose, allow access to, transmit, transfer,

Ownership of Proprietary Information. Observer agrees that the Company is and shall remain the exclusive owner of the Proprietary Information and all patent, copyright, trade secret, trademark and other intellectual property rights therein. No license or conveyance of any such rights to Observer or any other person or entity is granted or implied under this Agreement.

"Beneficial Ownership Certification" means a certification regarding beneficial ownership required by the Beneficial Ownership Regulation.

As of the Closing Date, the information included in any Beneficial Ownership Certification, if applicable, is true and correct in all respects.

“Beneficial Ownership Certification” means a single, customary (e.g., the “LSTA Form” therefor) certification regarding beneficial ownership as required by the Beneficial Ownership Regulation.

“Beneficial Ownership Certification” shall mean a certification regarding beneficial ownership required by the Beneficial Ownership Regulation, in form and substance satisfactory to Agent.
