Anti-Money-Laundering; Beneficial Ownership. Upon the reasonable request of any Lender, the Borrower shall have provided to such Lender, and such Lender shall be reasonably satisfied with, the documentation and other information so requested in connection with applicable “know your customer” and anti-money-laundering rules and regulations, including, without limitation, the Patriot Act, and any Loan Party that qualifies as a “legal entity customer” under the Beneficial Ownership Regulation shall have delivered to each Lender that so requests, a Beneficial Ownership Certification in relation to such Loan Party.

Section # Beneficial Ownership. As of the Closing Date, the information included in the Beneficial Ownership Certification, if applicable, is true and correct in all respects.

Notice of Default; Beneficial Ownership Change. The Company will, and will cause each Subsidiary to, promptly give notice (but in no event later than two (2) Business Days after an Authorized Officer becomes aware of such occurrence) in writing to the Administrative Agent and the Lenders of # the occurrence of any Default or Unmatured Default, # the delivery by any Person of any written notice to the Company or any Subsidiary of, or the taking of any other action by any Person with respect to, a claimed default or event or condition of the type referred to in Section 8.1(E), (iii) the occurrence of any other development, financial or otherwise (including, without limitation, any litigation), that could reasonably be expected to have a Material Adverse Effect and # any change in the information provided in the Beneficial Ownership Certification delivered to a Lender that would result in a change to the list of beneficial owners identified in such certification.

Certificate of Beneficial Ownership/Controlling Party. The Certificate of Beneficial Ownership/Controlling Party executed and delivered to [[Organization B:Organization]] for each Borrower on or prior to the First Amendment Effective Date, as updated from time to time in accordance with this Agreement, is accurate, complete and correct as of the date hereof and as of the date any such update is delivered. The Borrower acknowledges and agrees that the Certificate of Beneficial Ownership/Controlling Party is one of the Other Documents.

USA PATRIOT Act; Beneficial Ownership Certification. To the extent applicable, each of the Borrower and its Restricted Subsidiaries is in compliance, in all material respects, with the USA PATRIOT Act. As of the Closing Date, the information included in the Beneficial Ownership Certification, if applicable, is true and correct in all respects.

Beneficial Ownership Filings; Notice of Depositary. Promptly upon execution hereof, Buyer will file an amended [Schedule 13D]/A with the SEC, including a copy of this Agreement, and provide similar disclosures under other applicable laws, including Finnish law. At the Depositary’s discretion, the Depositary may release a market announcement notifying market participants of this Agreement and that, pursuant to the terms of the Deposit Agreement, holders of ADSs will be entitled to their pro rata share (on a per ADS basis) of net cash proceeds from any sale of the Buyer Shares (after giving effect to any deductions provided for under the Deposit Agreement) by the Depositary.

SECTION # Patriot Act and Beneficial Ownership Regulation. The Bank hereby notifies the Loan Parties that, # pursuant to the requirements of the Patriot Act, it is required to obtain, verify and record information that identifies each Loan Party, which information includes the name and address of such Loan Party and other information that will allow the Bank to identify such Loan Party in accordance with the Patriot Act, and # pursuant to the Beneficial Ownership Regulation, it is required to obtain a Beneficial Ownership Certification.

Promptly after the reasonable request of [[Organization B:Organization]], provide to [[Organization B:Organization]]: # confirmation of the accuracy of the information set forth in the most recent Certificate of Beneficial Ownership/Controlling Party provided to the [[Organization B:Organization]] and Lenders; # a new Certificate of Beneficial Ownership/Controlling Party, in form and substance acceptable to [[Organization B:Organization]] and each Lenders, when the individual(s) to be identified as a Beneficial Owner have changed; and # such other information and documentation as may reasonably be requested by [[Organization B:Organization]] or any [[Organization C:Organization]] from time to time for purposes of compliance by [[Organization B:Organization]] or such [[Organization C:Organization]] with applicable laws (including without limitation the USA Patriot Act and other "know your customer" and anti-money laundering rules and regulations), and any policy or procedure implemented by [[Organization B:Organization]] or such [[Organization C:Organization]] to comply therewith. Notwithstanding anything to the contrary, [[Organization B:Organization]] shall keep each Certificate of Beneficial Ownership/Controlling Party confidential in accordance with [[Organization B:Organization]]'s customary procedures for handling confidential information of this nature and in accordance with [Section 16.15] of this Agreement; provided, however, that notwithstanding anything to the contrary, including without limitation [Section 16.15] of this Agreement, [[Organization B:Organization]] shall not disclose or share any Certificate of Beneficial Ownership/Controlling Party with any [[Organization C:Organization]], Participant, Transferee or prospective Transferees even if such Persons are bound by [Section 16.15] of this Agreement.

“Beneficial Ownership Certification” means a certification regarding beneficial ownership required by the Beneficial Ownership Regulation.
