“Beneficial Ownership Certification” means a certification regarding beneficial ownership or control as required by the Beneficial Ownership Regulation.

“Beneficial Ownership Certification” means, for a “legal entity customer” (as such term is defined in the Beneficial Ownership Regulation), a certification regarding beneficial ownership or control to the extent required by the Beneficial Ownership Regulation.

After giving effect to this Notice of Exercise, the undersigned will not have exceeded the Beneficial Ownership Limitation.

“Beneficial Ownership Regulation”: 31 C.F.R. § 1010.230.

at least five days prior to the Closing Date, any Borrower that qualifies as a “legal entity customer” under the Beneficial Ownership Regulation shall deliver a Beneficial Ownership Certification in relation to such Borrower; and

5.05Financial Statements; No Material Adverse Effect; Beneficial Ownership Certification.

“Beneficial Ownership Regulation” shall mean 31 C.F.R. Section 1010.230.

Representations and Warranties of the Depositary. The Depositary represents and warrants to Buyer as follows:

“Participant” means, with respect to a Depositary, a Person who has an account with the Depositary.

(i) [[Organization B:Organization]] shall have received, at least five days prior to the Execution Date, all documentation and other information regarding the Borrowers requested in connection with applicable “know your customer” rules and regulations and Anti-Money Laundering Laws, including the USA Patriot Act, to the extent requested by such Lender in writing of the Borrower at least 10 days prior to the Execution Date and # to the extent any Borrower qualifies as a “legal entity customer” under the Beneficial Ownership Regulation, at least five days prior to the Execution Date, any Lender that has requested, in a written notice to such Borrower at least 10 days prior to the Execution Date, a Beneficial Ownership Certification in relation to such Borrower shall have received such Beneficial Ownership Certification.
