Certificate of Beneficial Ownership/Controlling Party. The Certificate of Beneficial Ownership/Controlling Party executed and delivered to [[Organization B:Organization]] for each Borrower on or prior to the First Amendment Effective Date, as updated from time to time in accordance with this Agreement, is accurate, complete and correct as of the date hereof and as of the date any such update is delivered. The Borrower acknowledges and agrees that the Certificate of Beneficial Ownership/Controlling Party is one of the Other Documents.

"Certificate of Beneficial Ownership/Controlling Party" shall mean, for each Borrower, a certificate in form and substance acceptable to [[Organization B:Organization]] in its sole discretion, certifying, among other things, the Beneficial Owner/Controlling Party of such Borrower.
