Baseline. The major baseline elements of the Work shall include the following, in each case meeting the requirements detailed in [Attachment 1], Statement of Work:

“Baseline Net Worth” is defined in clause (j) of the definition of Exclusion Event.

(y) “Service Baseline Period” shall have the meaning set forth in Section 5.1(d).

“Baseline Ownership Percentages” means the Ownership Percentages of the Members, determined prior to giving effect to Section 7.01(c).

“Sustainability Metric Election Threshold” means, with respect to any fiscal year of the Borrowers listed in the first column of the table set forth below, the percentage change from the Sustainability Metric Baseline specified opposite such fiscal year in the table below:
