Arbitration. Except as provided in [Section 10] of this Agreement, any controversy or claim arising out of or relating to this Agreement or the breach thereof shall be settled by arbitration in Philadelphia, Pennsylvania in accordance with the rules of the American Arbitration Association, and judgment upon any award so rendered may be entered in any court having jurisdiction thereof. The determination of the arbitrator(s) shall be conclusive and binding on the Company and the Executive, and judgment may be entered on the arbitrator(s)’ award in any court having jurisdiction.

Arbitration. The determination of the arbitrator(s) shall be conclusive and binding onBoth the Company and Executive hereby consent to this binding arbitration provision. The existence of any claim or cause of action by Executive, whether predicated on this Agreement or otherwise, shall not constitute a defense to the Executive,enforcement by the Company or any of its Affiliates of any provision hereof. The Company’s remedies for breach of this Agreement shall be cumulative and judgment maythe pursuit of one remedy shall not be entered on the arbitrator(s)’ award indeemed to exclude any court having jurisdiction.other remedies.

Arbitration. Except as providedExecutive shall have the option to elect (in lieu of litigation) to have any dispute or controversy arising under or in [Section 10] of this Agreement, any controversy or claim arising out of or relating toconnection with this Agreement or the breach thereof shall be settled by arbitrationarbitration, conducted by a panel of three arbitrators in Philadelphia, Pennsylvaniaa location selected by Executive within fifty (50) miles from the location of his job with the Company, in accordance with the rules of the American Arbitration Association, and judgment upon any award so rendered may be enteredAssociation then in any court having jurisdiction thereof. The determination of the arbitrator(s) shall be conclusive and binding on the Company and the Executive, and judgmenteffect. Judgment may be entered on the arbitrator(s)’arbitrators’ award in any court having jurisdiction.

Arbitration.8.2Resolution of Disputes and Reimbursement of Legal Costs. Except as otherwise provided in [Section 10] of this Agreement,[Article 4], the Company and Executive agree that any controversy or claim arising out of or relating to this Agreement or the breach thereof shall be settled by arbitration in Philadelphia, Pennsylvaniaadministered by the American Arbitration Association in accordance with the rules of the Americanits Commercial Arbitration Association, and judgment uponRules then in effect. Venue for any arbitration pursuant to this Agreement will lie in ​. Any award so rendered may be entered in any court having jurisdiction thereof. The determination ofby the arbitrator(s) shall be conclusivefinal, binding and binding on the Company and the Executive,nonappealable and judgment may be entered on the arbitrator(s)’ awardthereon by either party in accordance with applicable law in any court havingof competent jurisdiction. This arbitration provision shall be specifically enforceable. Each party shall be responsible for its own expenses relating to the conduct of the arbitration (including reasonable attorneys' fees and expenses) and shall share the fees of the American Arbitration Association and the arbitrator(s), if applicable, equally.
