Base Year. The Base Year with respect to the Expansion Space shall be calendar year 2015 for purposes of the payment by Tenant of Tenant’s Pro Rata Share of Operating Expenses.

Base Year EPS. The term “Base Year EPS” means the Company’s actual adjusted diluted earnings per share and is calculated as the Adjusted Net Income (modified for any applicable adjustments set forth in the Appendix) divided by the Adjusted Diluted WAS, each as determined for the most recent Company fiscal year ended prior to the beginning of the Measurement Period.

Such deferred compensation, if any, shall be a priority payment when cash is sufficient to make such payment(s). The Employee may use his discretion, in conjunction with advice and counsel from the Company’s Chief Financial Officer, as to what constitutes cash sufficiency from time-to-time. If there is disagreement with the CFO’s position as to what constitutes cash sufficiency, the Employee shall request the Board of Directors to make such determination.

Base Salary. Base Salary in [section 2(b)(i)] is hereby amended to effective and will remain so for a period of three (3) years.

Base Rent. Tenant shall pay the Base Rent in equal monthly installments in advance on the first day of each month during the Lease Term. If the Rent Commencement Date is not the first day of a month, then the Base Rent from the Rent Commencement Date until the first day of the following month shall be prorated on a per diem basis at the rate of one thirtieth (1/30th) of the monthly installment of the Base Rent payable during the month following the Rent Commencement Date, and Tenant shall pay such prorated installment of the Base Rent on the Rent Commencement Date. Base Rent for any partial calendar month upon the early termination of this Lease shall likewise be prorated.

Base Salary. During the Employment Period, the Executive shall receive an annual base salary (the “Annual Base Salary”) at an annual rate at least equal to 12 times the highest monthly base salary paid or payable, including any base salary that has been earned but deferred, to the Executive by the Company and or the applicable Affiliated Entity in respect of the one-year period immediately preceding the month in which the Effective Date occurs. The Annual Base Salary shall be paid at such intervals as the Company or the applicable Affiliated Entity pays executive salaries generally. During the Employment Period, the Annual Base Salary shall be reviewed at least annually, beginning no more than 12 months after the last salary increase awarded to the Executive prior to the Effective Date. Any increase in the Annual Base Salary shall not serve to limit or reduce any other obligation to the Executive under this Agreement. The Annual Base Salary shall not be reduced after any such increase and the term “Annual Base Salary” shall refer to the Annual Base Salary as so increased.

Base Salary. As compensation for all services rendered under this Agreement, the Company will pay to the Employee and the Employee will accept from the Company a base salary of (CAD) per annum. The base salary will be paid semi-monthly, in arrears, in equal instalments, less statutory and other authorized deductions.

Base Salary. The Executive’s Base Salary under this Agreement shall be at the initial rate of $390,000. The Executive’s Base Salary will be paid by DeVry Group in substantially equal bi-weekly installments. The Base Salary will be reviewed annually by the CEO in coordination with the Compensation Committee and upon such review the Base Salary may be increased by the CEO in coordination with the Compensation Committee (but subject to any applicable DeVry Group policy, law, or exchange listing requirement); provided, however, the Base Salary under this Agreement, including as subsequently adjusted upwards, may not be decreased thereafter except in the case of an across-the-board percentage reduction in base salaries of executives at the Executive’s level affecting such executives equally. All amounts payable to the Executive under this Agreement will be subject to all required withholding by DeVry Group.
