Base Salary. During the Employment Period, the Employer will pay to Employee a base salary at the rate of at least $189,625 per year (“Base Salary”), less normal withholdings, payable in equal monthly or more frequent installments as are customary under the Bank’s payroll practices from time to time. In accordance with the policies and procedures of the Board of Directors of the Bank (the “Bank Board”), the Employer shall review Employee’s total compensation at least annually and in its sole discretion may adjust Employee’s total compensation from year to year, but during the Employment Period the Employer may not decrease Employee’s Base Salary below $189,625; provided further, however, that periodic increases in Base Salary, once granted, shall not be subject to revocation. The annual review of Employee’s total compensation will consider, among other things, changes in the cost of living, Employee’s own performance and Bancorp’s consolidated performance.

Base Salary. The Company will pay the Executive an initial base salary at the rate of $393,300 per year, retroactive as of January 1, 2022. The Executive’s base salary shall be subject to periodic review by the Board or the Compensation Committee of the Board (the “Compensation Committee”). The base salary in effect at any given time is referred to herein as

Base Salary. Throughout the Strategic Advisory Period, the Company will pay to Executive the rate of base salary in effect immediately prior to the Strategic Advisory Period. Such salary shall be payable in accordance with the Company’s customary payroll practices applicable to executives.

Base Salary. The Company shall pay Employee an annual rate of base salary of $256,000 (“Base Salary”) in accordance with the Company’s customary payroll practices and all applicable wage payment laws.

Base Compensation.Base Compensation” means the Employee’s # annual base salary paid by the Company for services performed as in effect on the Termination Date; and # target cash bonus and/or other forms of cash incentive compensation for the fiscal year in which the Change of Control is effective.

Base Salary. The Company shall pay the Employee a fixed salary (“Base Salary”) of One Hundred Twenty Thousand Dollars ($120,000) per year, paid at a rate of Ten Thousand Dollars ($10,000.00) per month, bi-monthly. The Board of Directors shall review the Employee’s Base Salary from time to time with a view to increasing such Base Salary if, in the judgment of the Board of Directors, the earnings of the Company or the services of the Employee merit such an increase. The Base Salary shall be payable in accordance with the customary payroll practices of the Company. In the event the Company does not have sufficient cash on hand to pay such monthly Base Salary, Employee agrees to voluntarily defer such payment(s) until such time as sufficient cash is available to make such payments. Such deferred compensation, if any, shall be a priority payment when cash is sufficient to make such payment(s). The Employee may use his discretion, in conjunction with advice and counsel from the Company’s Chief Financial Officer, as to what constitutes cash sufficiency from time-to-time. If there is disagreement with the CFO’s position as to what constitutes cash sufficiency, the Employee shall request the Board of Directors to make such determination.

During the term of this Agreement, while the Executive is employed as a Managerial Employee, the [[Organization A:Organization]] shall pay the Executive, for services rendered, a base salary (“Base Salary”), subject to applicable tax withholdings and other authorized deductions. Unless otherwise stated in this Agreement, the Executive’s annual Base Salary on the Effective Date is set forth in Exhibit A of this Agreement.

Base Rent. In addition to the Base Rent payable pursuant to [Section 5.1(a)] of the Lease and all other Rent payable thereunder, Tenant shall pay Base Rent for the Expansion Space in accordance with the following table:

Borrowing Base. The amount which Borrower is entitled to borrow from time to time under the line of credit shall be the then current loan value of collateral (the “Borrowing Base”) pledged to Lender to secure indebtedness owing to Lender by Borrower, provided that in no event is Lender to be required to make any advance which would cause the outstanding principal balance owing by Borrower at any one time to be in excess of $1,000,000.00. The Borrowing Base shall be redetermined monthly and shall be seventy-five percent (75%) of eligible accounts receivable arising out of Borrower’s United States operations pledged to the Lender. The term “eligible accounts receivable” shall mean all billed gross trade accounts receivable, less: # balances due sixty (60) days or more after the date of the original invoice therefor; # accounts owed by companies related to or affiliated with Borrower or its employees; # except for receivables from BASF SE, accounts owing by any one debtor which exceed twenty percent (20%) of the total billed gross accounts receivable; # all accounts owing by any particular debtor if 10% or more of such particular debtor’s accounts are ninety (90) days or more past due; and # accounts receivable which are disputed by the account debtor.

Base Salary. As compensation for all services rendered under this Agreement, the Company will pay to the Employee and the Employee will accept from the Company a base salary of $275,000 (CAD) per annum. The base salary will be paid semi-monthly, in arrears, in equal instalments, less statutory and other authorized deductions.
