Base Compensation. Executive shall be paid base compensation of $300,000 annually, as follows: Executive shall receive a cash salary of $200,000 per year ($16,666.67 per month) (the “Cash Salary”), plus $100,000 per year payable in options for shares of the Company’s common stock valued at a $.66 per share price or a price determined by the Company’s Board in its sole discretion (the “Equity Salary”, and together with the Cash Salary, “Base Compensation”). Options shall not be struck at a exercise price lower than $.66. The Base Salary shall be payable less applicable deductions and withholding in normal installments and in accordance with the payroll practices of Company. Shares constituting the Equity Salary shall be issued to Executive in equal monthly installments on the first day of each month. Company shall make applicable tax withholdings for the Equity Salary from payments of Executive’s Cash Salary. Executive’s Base Compensation shall not be reduced without agreement of Executive.
Equity or Cash Bonus. In addition to his Base Compensation, Executive shall receive an annual bonus equivalent to $300,000, payable at the discretion of the Company’s Board in its sole discretion either in stock options, shares of the Company’s common stock valued at $0.66 per share or a price determined by the Company’s Board (the “Equity Bonus”), or in cash. In the event the bonus is paid as an Equity Bonus, Company shall pay or reimburse Executive for all federal, state and or local tax obligations of Executive resulting from the issuance of the Equity Bonus.
Base Salary. As of the Effective Date, the Company will pay Executive an annual base salary equal to the sum of $300,000 plus the Adjustment pursuant to [Section 2(b)],if any (such annual salary, as is then effective, to be referred to herein as “Base Salary”). All compensation paid to Executive will be paid periodically in accordance with the Company’s normal payroll practices and be subject to the usual, required withholdings. Unpaid compensation will be paid in lump sum, however if cash is unavailable the Executive at his election can elect to receive unrestricted stock in accordance with issuance limitations and priced at floor prices agreed with creditors for all officers and directors.
Base Salary. As compensation for Executive’s performance of Executive’s duties hereunder, Company shall pay to Executive an initial Base Salary of $400,000 per year, payable in accordance with the normal payroll practices of the Company (but not less frequently than monthly), less required deductions for state and federal withholding tax, social security and all other employment taxes and payroll deductions. The Base Salary shall be reviewed by the Board not less often than annually. The term “Base Salary” shall refer to the Base Salary as may be in effect from time to time.
Base Salary. The Company shall pay to Executive a base salary at the rate of $300,000 per annum (the Base Salary) during the Term (as defined below), less applicable withholdings and deductions in accordance with the Companys normal payroll procedures. Provided that Executive remains employed by the Company through the Term, the Base Salary shall be payable to Executive in equal installments on a semimonthly basis, in accordance with the Companys normal payroll procedures. If Executives employment with the Company terminates prior to the end of the Term for any reason, the Company shall pay to Executive a pro-rata amount of the Base Salary through the date of Executives last day of employment with the Company.
Base Salary. Company shall pay Executive a base salary (the “Base Salary”) at the annual rate of $407,800. The Base Salary shall be payable in substantially equal periodic installments in accordance with Company’s payroll practices as in effect from time to time. Company shall deduct from each such installment all amounts required to be deducted or withheld under applicable law or under any employee benefit plan in which Executive participates. The Base Salary will be reviewed annually and may be increased.
Base Salary. The Company agrees to pay to Executive a base salary (“Base Salary”) at the annual rate of $475,000.00. The Compensation Committee of the Board of Directors of the Company may determine in its sole discretion to increase, but not decrease the Base Salary. Payments of the Base Salary shall be payable in equal installments in accordance with the Company’s standard payroll practices.
Base Compensation. During the Employment Term, for her services under this Agreement the Company shall pay Executive base compensation at an annual rate of $270,000. Any amount payable hereunder shall be paid in equal installments in accordance with the Company’s regular payroll practices and policies (Executive’s “Base Compensation”). Executive’s Base Compensation shall be reviewed annually and may be increased by the board of managers, in its sole discretion. If Executive is required to devote more than four days per month to performing the duties described in [Section 1.1], Executive shall be paid a daily rate of $3,750 for each day worked in excess of four days.
Base Salary. Executive’s base salary (the “Base Salary”) will be paid at the rate of $27,083.33 monthly ($325,000 annualized) during the Term. Executive’s Base Salary may be increased by the Compensation Committee and/or Board in their sole discretion, but shall not be decreased without Executive’s consent. Executive’s Base Salary will be paid at periodic intervals in accordance with the [[Organization A:Organization]]’s normal payroll practices for salaried employees.
Base Salary. As compensation for Executive’s performance of Executive’s duties hereunder, the Company shall pay to Executive an initial base salary of $225,000 per year, payable in accordance with the normal payroll practices of the Company, less required deductions for state and federal withholding tax, social security and all other employment taxes and payroll deductions (the “Base Salary”). In the event Executive’s employment under this Agreement is terminated by either party, for any reason, Executive will earn the Base Salary prorated to the date of termination.
