Signing Bonus. Within thirty (30) days of the Effective Date, Employee will receive a one-time cash payment of Forty Thousand Dollars ($40,000) (the "Signing Bonus") which shall be subject to payroll taxes and withholding. If Employee voluntarily terminates his employment or is terminated for cause in accordance with Section 5(c) with the Employer prior to his twelve-month anniversary of the Effective Date, the Employee agrees to repay the Signing Bonus in full to the Employer.

Signing Bonus. Within thirty (30) days of the Effective Date, Employee will receive a one-time cash payment of Fifty Thousand Dollars ($50,000) (the "Signing Bonus") which shall be subject to payroll taxes and withholding. If Employee voluntarily terminates his employment or is terminated for cause in accordance with Section 5(c) with the Employer prior to his nine-month anniversary of the Effective Date, the Employee agrees to repay the Signing Bonus in full to the Employer.

The Company agrees to pay the Employee a cash signing bonus in the amount of $1.6 million, on or before September 15, 2015 (the “Signing Bonus”). The Employee agrees that if prior to December 31, 2017 the Employee voluntarily terminates his employment, but not for Good Reason pursuant to Section 3.1(b), then within fifteen (15) days after such termination he will repay to the Company a pro rata portion of the Signing Bonus, in the amount of $60,000 for each full month remaining in the period between the date of his termination and December 31, 2017.

This letter is to confirm our understanding, notwithstanding any provision in your Employment Agreement, that you shall receive a one-time lump sum payment in the amount of Two Million Dollars ($2,000,000), less applicable withholdings and deductions, payable within ten (10) days of the Effective Date (the “Signing Bonus”). In the event that you resign employment with the Company other than for Good Reason during the first twelve (12) months following the Effective Date, you must repay the Signing Bonus. In the event that you resign employment with the Company other than for Good Reason thirteen (13) to twenty-four (24) months following the Effective Date, you must replay fifty percent (50%) of the Signing Bonus.

Signing Bonus. Promptly after this Agreement is executed and delivered by the Employee, Employee shall receive a signing bonus of Fifty Thousand Dollars ($50,000).

Sign-On Bonus. On the first payroll date following the Effective Date, the Company shall pay Executive a one-time sign on bonus of $150,000, less applicable withholdings (the “Sign On Bonus”). Notwithstanding the foregoing, Executive acknowledges and agrees that the Sign On Bonus shall not be earned to any extent prior to the first anniversary of the Effective Date and will only be earned on the first anniversary of the Effective Date if Executive remains continuously employed with the Company through such date. In the event Executive’s employment with the Company is terminated by the Company for Cause or by Executive without Good Reason (each, as defined below), in either case, prior to the first anniversary of the Effective Date, Executive hereby agrees to repay the amount of the Sign-On Bonus received by Executive to the Company within sixty (60) days following Executive’s termination.
