Additional Rent for the Expansion Premises. During the Expansion Premises Term and in addition to the Base Rent set forth in Section 5(B) of this Amendment, with respect to the Expansion Premises Tenant shall pay to Landlord Tenant’s Share of the annual Direct Expenses allocated to the tenants of the Building and Project in accordance with the Lease to the extent such Direct Expenses allocated to tenants of the Building and Project are in excess of Direct Expenses incurred or accrued during theBase Year”; the Base Year shall be calendar year 2022 and the Direct Expenses for the Base Year may be referred to as the Base Expenses. Base Expenses shall mean the Direct Expenses allocated to the Building for the Base Year. Tenant shall be liable for all other additional rent payable under the terms of the Lease pursuant to the terms and conditions of the Lease. Effective as of the Expansion Premises Commencement Date, Tenant’s Share of Direct Expenses with respect to the Expansion Premises shall be approximately 10.92% of the Building (i.e., 2,892 rentable square feet within the Expansion Premises/26,486 rentable square feet within the Building) and approximately 2.19% of the Project (2,892 ÷ 132,169). Tenant shall be responsible for arranging and paying all its separately metered utilities and janitorial expenses associated with the Expansion Premises.

Base Rent--Expansion Premises A. Beginning on the Expansion Premises A Rent Commencement Date through the Extension Term Expiration Date, Tenant shall pay Base Rent with respect to Expansion Premises A (theExpansion Premises A Base Rent”) in the manner and at the times set forth in the Original Lease at the rates set forth below:

Base Rent for the Expansion Premises. In addition to Base Rent for the Current Premises, commencing on the EPCD, Tenant shall pay Base Rent for the Expansion Premises in the same manner as is required under the Lease, as amended hereby, in the amount of $43.00 per rentable square foot of the Expansion Premises (or $5,048.92 per month) and on each anniversary of the EPCD (except as expressly hereinafter provided) during the Expansion Premises Term, Base Rent for the Expansion Premises shall increase by One and 00/100 Dollars ($1.00) (i.e., to $44.00 per rentable square foot or $5,166.33 per month on the first anniversary of the EPCD, to $45.00 per rentable square foot or $5,283.75 per month on the second anniversary of the EPCD and to $46.00 per rentable square foot or $5,401.17 per month on the third anniversary of the EPCD and so on through May 31, 2025). If, however, the EPCD does not occur on the first day of a calendar month, # Tenant shall pay prorated Rent for the Expansion Premises on a per diem basis for such partial month on the EPCD, and # solely for purposes of determining the rate applicable for such partial month and for the balance of the Expansion Premises Term, the period from the EPCD through and including the day immediately preceding the first day of the next full calendar month (such first day being hereinafter referred to as theBase Rent Anniversary Date”) shall be deemed included within the first full calendar month of the Expansion Premises Term and the annual Base Rent increase contemplated hereinabove shall occur on each anniversary of the Base Rent Anniversary Date not on the EPCD. By way of example only, if the EPCD is April 24, 2021, the Base Rent Anniversary Date shall be May 1, 2021 and therefore the Base Rent shall increase annually as set forth hereinabove on each May 1st falling within the Expansion Premises Term.

#Seventh Expansion Premises. Commencing on the Seventh Expansion Premises Rent Commencement Date, Tenant shall (in addition to Base Rent for the Existing Premises) commence paying Base Rent with respect to the Seventh Expansion Premises at the rate of $41.00 per rentable square foot of the Seventh Expansion Premises per year. Commencing on each annual anniversary of the Seventh Expansion Rent Commencement Date (each, an “Seventh Expansion Premises Adjustment Date”), Base Rent payable with respect to Seventh Expansion Premises shall be increased by multiplying the Base Rent payable with respect to the Seventh Expansion Premises immediately before such Seventh Expansion Premises Adjustment Date by 3% and adding the resulting amount to the Base Rent payable with respect to the Seventh Expansion Premises immediately before such Seventh Expansion Premises Adjustment Date.

Base Rent--Expansion Premises B. Beginning on the Expansion Premises B Rent Commencement Date through the Extension Term Expiration Date, Tenant shall pay Base Rent with respect to Expansion Premises B (theExpansion Premises B Base Rent”) in the manner and at the times set forth in the Original Lease at the rates set forth below:

Base Rent for the Expansion Premises. Effective from and after the Expansion Commencement Date through the end of the Term the initial monthly base rent for the Expansion Premises shall be $2.95 per rentable square foot of the Expansion Premises as set forth below (“Base Rent”) (subject to abatement of rent pursuant to Section 4) and shall be increased by three percent (3%) annually commencing on the Expansion Commencement Date and each year thereafter during the initial Term and, if applicable, during the Option Terms (theAnnual Increase”), all as set forth below:

Base Rent for the Current Premises. Commencing on April 1, 2021, Tenant shall pay Base Rent for the Current Premises in the same manner as is required under the Lease, as amended hereby, pursuant to the schedule set forth below without regard thereafter to the schedule set forth in [Section 4] of the Second Amendment:

Base Rent for the Expansion Premises. Effective as of the Expansion Premises Commencement Date and throughout the Expansion Premises Term, in addition to Additional Rent and all other costs and expenses payable by Tenant pursuant to the Lease as amended by this Amendment, Tenant shall pay to Landlord the following monthly Base Rent for the Expansion Premises in accordance with the terms of the Lease, as follows:

Expansion Premises Abated Base Rent. Provided that Tenant is not then in default of the Lease (as hereby amended), then during the period commencing on January 1, 2021 and ending on June 30, 2021 (the "Expansion Rent Abatement Period"), Tenant shall not be obligated to pay any Base Rent otherwise attributable to the Expansion Premises only during such Expansion Rent Abatement Period (the "Expansion Rent Abatement"). Landlord and Tenant acknowledge that the aggregate amount of the Expansion Rent Abatement equals $607,869.60 (i.e., $101,311.60 per month). Tenant acknowledges and agrees that the foregoing Expansion Rent Abatement has been granted to Tenant as additional consideration for entering into this Second Amendment, and for agreeing to pay the Rent and performing the terms and conditions otherwise required under the Lease (as hereby amended). If Tenant shall be in default under the Lease (as hereby amended) during the Expansion Rent Abatement Period and shall fail to cure such default within the notice and cure period, if any, permitted for cure pursuant to the Lease (as hereby amended), then the dollar amount of the unapplied portion of the Expansion Rent Abatement as of the expiration of such cure period shall be converted to a credit to be applied to the Base Rent applicable at the end of the Expansion Term and Tenant shall then be obligated to begin paying Base Rent for the Expansion Premises.

Base Rent for Premises. During the Term, Tenant shall pay to Landlord Base Rent in equal monthly installments in the amounts shown on Exhibit B attached hereto and made a part hereof, in advance and without demand on the first day of each month for and with respect to such month. Unless otherwise expressly provided herein, the payment of Base Rent shall commence on the Commencement Date, and shall be prorated for any partial months.
