Base Salary. Executive shall be paid an annual base salary (the “Base Salary”) of $285,000.00, payable in accordance with the Company’s normal payroll practices and subject to applicable tax withholdings and other deductions.

Base Salary. During the Employment Period, your base salary will be as follows: for the remainder of fiscal year 2021 (i.e., the year ending March 31, 2021), $569,250 per annum; for fiscal year 2022, $500,000 per annum; for fiscal year 2023, $450,000 per annum (such amounts, your “Base Salary”). Your Base Salary will be payable in regular installments in accordance with the Company’s general payroll practices and subject to withholding and other payroll taxes. After fiscal year 2023, your Base Salary may be reviewed annually by the Board in its sole discretion. Notwithstanding the foregoing, unless agreed by you in writing, your Base Salary shall not be decreased below your then current Base Salary by the Board or otherwise.

Base Salary. The compensation specified under this Agreement shall constitute the salary and benefits paid for the duties described in Section 2(a). In consideration of the services to be rendered by Executive, the Company shall pay Executive as compensation an annualized salary of Three Hundred Thousand ($300,000) per year (“Base Salary”). Such Base Salary shall be payable bi-weekly, or in accordance with the Company’s normal payroll practices. During the period of this Agreement, Executive’s Base Salary shall be reviewed at least annually by the Co-CEOs. The first such review will be made no later than December 1 of each year during each Term of this Agreement and shall be effective from the first day of December each calendar year. Co-CEOs may increase, but not decrease, Executive’s Base Salary (any increase in Base Salary shall become the “Base Salary” for purposes of this Agreement). In addition to the Base Salary provided in this Section 3(a), the Company shall provide Executive with all such other benefits as are provided uniformly to permanent full-time employees of the Company.

Base Salary. The Company shall pay to Executive as base compensation for all of the services to be rendered by Executive under this Agreement a salary at the rate of $303,000 per annum (the “Base Salary”), payable in accordance with such normal payroll practices as are adopted by the Company from time to time, subject to withholdings for federal, state and local taxes, FICA and other withholding required by applicable law, regulation or ruling. The Base Salary shall be reviewed at least annually. In addition, Executive shall be eligible for an annual discretionary bonus with a target of seventy-five percent (75%) of Base Salary. The amount of such annual bonus, if any, shall be decided by the Compensation Committee of the Board of Directors of Parent, and shall be based upon achievement of objectives established by the Compensation Committee, all as determined in the reasonable discretion of the Compensation Committee. Any bonus payable to Executive for 2018 shall be prorated based upon the Effective Date.

Base Salary. During the Term, the Company shall pay to Executive a base salary at the rate of $525,000 per year (the “Base Salary”), subject to adjustments pursuant to the terms of Section 5(b) hereof.

Base Salary. You shall receive payment of your Base Salary for 12 months (the “Base Salary Payment Period”). The Base Salary will be paid to you in equal installments on the Company’s regular payroll schedule, subject to all standard deductions and withholdings, for a 12-month period commencing on the first payroll period following the effective date of your Release. Notwithstanding the foregoing, the Plan Administrator, it its sole discretion, may determine to pay some or all of the Base Salary payments in one lump sum cash payment on or before the Short-Term Deferral Deadline.

Base Salary. During the Employment Term, the Company will pay Executive an annual salary (the “Base Salary”) of $360,000 as compensation for Executive’s services. The Base Salary will be paid periodically in accordance with the Company’s normal payroll practices. Executive’s Base Salary will be subject to review by the Compensation Committee (the “Compensation Committee”) of the Board and adjustments to the Base Salary may be made in its discretion.
