Alere Inc. ("Alere", formerly Inverness Medical Innovations, Inc.), Chembio, and SDS entered into the HIV Barrel License, Marketing and Distribution Agreement, dated as of September 29, 2006, as amended (the "Three-Way Agreement"), which Three-Way Agreement will expire by its terms on May 31, 2016;

The form of Infinity Meter Agreement attached to the Purchase Agreement as [Exhibit H] thereto is hereby replaced with the form of Infinity Meter Agreement attached hereto as [Exhibit G].

National Cardiac, Inc.: Executive is the Chief Executive Officer and a member of the Board of Directors, and holds a minority ownership stake in the company. The company is developing a low cost external heart monitor.

Alexander & Baldwin, Inc. 1998 Stock Option/Stock Incentive Plan, as amended on October 25, 2000, January 24, 2002, February 24, 2005, June 22, 2006, and October 26, 2006, respectively; and

Mistras Group, Inc. (the “Company”) maintains the Mistras Group, Inc. 2016 Long-Term Incentive Plan (the “Plan”).

LSI Industries Inc. and the Participant’s Employer shall have the right to deduct from all payments and amounts credited hereunder any taxes required by law to be withheld with respect to any benefits under this Plan.
