("Alere", formerly Inverness Medical Innovations, Inc.), Chembio, and SDS entered into the HIV Barrel License, Marketing and Distribution Agreement, dated as of September 29, 2006, as amended (the "Three-Way Agreement"), which Three-Way Agreement will expire by its terms on May 31, 2016;

The form of Infinity Meter Agreement attached to the Purchase Agreement as [Exhibit H] thereto is hereby replaced with the form of Infinity Meter Agreement attached hereto as [Exhibit G].
