The Company hereby grants to the Employee an Award of “Performance Stock Units” under the Plan comprised of an aggregate of the number of Performance Stock Units (such number to be determined as set forth below (collectively,in Section 4(b) based on a target award of ​ Performance Stock Units) on the “Units”).terms and conditions set forth herein and in the Plan. Each Performance Stock Unit represents the right of the Employee to receive the payment of one Share on the date that payment is made.

The Company hereby grants to you, subject to the terms and conditions in this Agreement and the Plan, an Award of “Performance Stock Units” under the Plan comprised of an aggregate of the number of Performance Stock Units (“Units”) specified on the cover page of this Agreement, each representing the right to receive one Share of the Company’s Stock. The number of Units that will actually be achieved and become eligible to vest pursuant to this Award can be less than the total number of Units, and will be determined based on the extent to which the Company has satisfied the performance goals set forth below (collectively,in [Exhibit A] to this Agreement. The Units represent an unfunded and unsecured obligation of the “Units”).Company.

A grant of Performance Stock Units set forth below (collectively,shall not represent the “Units”).grant of Shares but shall represent a promise to deliver Shares or cash based on the satisfaction of performance and, if applicable, service conditions. Each grant of Performance Stock Units shall be evidenced by an Award Agreement.
