No claim or entitlement to compensation or damages shall arise from forfeiture of the Award or recoupment of any shares of Common Stock acquired under the Plan resulting from # the termination of the Participant's employment by the Corporation or the Employer (regardless of the reason for such termination and whether or not the termination is later found to be invalid or in breach of employment laws); and/or # the application of the Corporation’s Recoupment Policy or any recovery or clawback policy required by law.

No claim or entitlement to compensation or damages shall arise from forfeiture of the Award or recoupment of any shares of Common Stock acquired under the Plan resulting from # the termination of the Participant’s employment by the Corporation or the Employer (regardless of the reason for such termination and whether or not the termination is later found to be invalid or in breach of employment laws); and/or # an actual breach by the Participant of Section 19, Section 20, any stand-alone restrictive covenant agreement, or any local restrictive covenant agreement; and/or # the application of the Corporation’s Recoupment Policy, Recovery Policy, or any recovery or clawback policy required by law.

no claim or entitlement to compensation or damages shall arise from forfeiture of the Stock Options ore recoupment of any Shares acquired under the Plan resulting from # termination of Employee’s employment by the Company or the Employer (for any reason whatsoever and whether or not in breach of local labor laws), and/or # the application of any recoupment policy or any recovery or clawback policy otherwise required by law, and in consideration of the grant of the Stock Options to which the Employee is otherwise not entitled, the Employee agrees not to institute any claim against the Company or the Employer and releases the Company and the Employer from any such claim; if, notwithstanding the foregoing, any such claim is allowed by a court of competent jurisdiction, then, by participating in the Plan, the Employee shall be deemed irrevocably to have agreed not to pursue such claim and to have agreed to execute any and all documents necessary to request dismissal or withdrawal of such claims;

no claim or entitlement to compensation arises from forfeiture of RSUs or the recoupment of any Shares acquired under the Plan resulting from # termination of your Service with the Company or the Service Recipient (regardless of the reason for such termination and whether or not later found to be invalid or in breach of employment or other laws in the jurisdiction where you are providing Service or the terms of your employment or service agreement, if any), # a breach or violation as described in Section 15 or Section 16 below, and/or # the application of any recoupment policy or any recovery or clawback policy otherwise required by law;
