No Employment Rights. Nothing in this Agreement, the Plan or the Award Letter shall confer upon the [[Person A:Person]] any right to continued Service with the [[Organization A:Organization]] or any Subsidiary, as applicable, nor shall it interfere with or limit in any way any right of the [[Organization A:Organization]] or any Subsidiary, as applicable, to terminate the [[Person A:Person]]’s Service at any time with or without Cause or change the [[Person A:Person]]’s compensation, other benefits, job responsibilities or title provided in compliance with applicable local laws and permitted under the terms of the [[Person A:Person]]’s Service contract, if any.
Not a Contract of Employment. By executing this Award Agreement you acknowledge and agree that # any person whose service is terminated before full vesting of an award, such as the one granted to you by this Award Agreement, could claim that he or she was terminated to preclude vesting; # you promise never to make such a claim; # nothing in this Award Agreement or the Plan confers on you any right to continue an employment, service or consulting relationship with the Company Group, nor shall it affect in any way your right or the Company Group’s right to terminate your employment, service, or consulting relationship at any time, with or without Cause; and # the Company would not have granted this Award to you but for these acknowledgements and agreements.
Right of the Company and Subsidiaries to Terminate Services. Nothing in this Agreement confers upon you the right to continue in the employ of or performing services for the Company or any Subsidiary, or interfere in any way with the rights of the Company or any Subsidiary to terminate your employment or service relationship at any time.
No Service or Equityholder Rights. Neither the Plan nor any Awards granted under the Plan shall give any Participant a right to remain in the service of the Board. No Participant shall have any rights of an equityholder of the Company thereof as a result of the grant of an Award or otherwise under the Plan.
Nothing in this Agreement (including, but not limited to, the vesting of your Award or the issuance of the shares in respect of your Award), the Plan or any covenant of good faith and fair dealing that may be found implicit in this Agreement or the Plan shall: # confer upon you any right to continue in the employ or service of, or affiliation with, the Company or an Affiliate; # constitute any promise or commitment by the Company or an Affiliate regarding the fact or nature of future positions, future work assignments, future compensation or any other term or condition of employment or affiliation; # confer any right or benefit under this Agreement or the Plan unless such right or benefit has specifically accrued under the terms of this Agreement or Plan; or # deprive the Company of the right to terminate you at will and without regard to any future vesting opportunity that you may have.
AWARD NOT A SERVICE CONTRACT . Your Award is not an employment or service contract, and nothing in your Award will be deemed to create in any way whatsoever any obligation on your part to continue in the service of the Company, or on the part of the Company to continue such service. In addition, nothing in your Award will obligate the Company, its shareholders, boards of directors or employees to continue any relationship that you might have as an employee of the Company.
No Rights to Employment. Nothing in this Plan confers upon a participant any right to continue in the employment of the Company, or to interfere in any way with the right of the Company to terminate the participant’s employment relationship with the Company at any time.
No Continued Service. Nothing in this Certificate will confer upon You any right to continue in the service of the Company as a member of the Board.
Vesting Service. For purposes of clarity, [[Mr. Kanas:Person]]' provision of the services consistent with the terms of this Agreement during the Term shall constitute service for purposes of the continuous service requirement set forth in the agreements (the "Award Agreements") with respect to the unvested restricted share unit awards and performance unit awards listed on [Schedule I] attached hereto (the "Awards"). If during the Term, [[Mr. Kanas:Person]] is terminated by the Company other than for "Cause" (as defined below) or terminates due to [[Mr. Kanas:Person]]' death or "Disability" (as defined below), [[Mr. Kanas:Person]] shall have the same rights to vesting as applied under the Award Agreements upon a similar termination of service thereunder, subject to [[Mr. Kanas:Person]]' continued compliance with Sections 5 and 6 hereof. For the avoidance of doubt, from and after the Effective Date, any rights under the Award Agreements that entitle [[Mr. Kanas:Person]] to terminate for Good Reason (as defined in the Award Agreement) or upon expiration or due to non-renewal of the Employment Agreement and vest in such Awards shall cease and be of no further force or effect, and nothing contained herein shall modify the requirement that performance goals be satisfied in accordance with the terms of the Awards that are performance unit awards.
No Right to Continued Employment. Neither the Plan, the LTIP nor this Agreement shall be construed as giving the Participant the right to be retained in the employ of, or in any consulting relationship to, the Company or any Affiliate. Further, the Company or an Affiliate may at any time dismiss the Participant, free from any liability or any claim under the Plan, the LTIP or this Agreement, except as otherwise expressly provided herein.
