Through the end of the Consulting Period, Emerson will continue to pay any amounts it is currently paying for your leased automobile, dues to clubs in which you are currently a member, and tax planning and compliance services.

Business Automobile Liability: Coverage shall be written on a business auto form for “any auto” included owned, non-owned, and hired or borrowed vehicles and trailers. Coverage shall be provided with a combined single limit for each accident, including bodily injury and property damage liability.

Automobile Allowance: Immediately upon successful completion of the Company’s public offering, the Executive shall receive use of a Company vehicle subject to the policies and costs as agreed between the Executive and the Board. Such benefit shall include routine expenses such as fuel, maintenance, insurance, etc.

if the Contract includes sums representing the financing of “extended warranty plans,” such plans are # in compliance with all applicable laws, including any special insurance laws relating thereto, and # underwritten by # a major automobile manufacturer, or an affiliate thereof, or # an independent and financially sound insurance company;

The Company maintains the following insurance for protection of its Directors as they carry out the business of the Company, which shall be provided while serving as a Director: # general liability and automobile liability insurance, # fiduciary and crime insurance, # aircraft liability insurance, and # business travel accident insurance.

Parking spaces are for the express purpose of parking one automobile per space. Washing, waxing, cleaning, or servicing of any vehicle by the parker and/or such person’s agents is prohibited. The parking areas shall not be used for overnight or other storage for vehicles of any type.

an amount equal to that necessary to offset the Federal, state and local income taxes, as well as associated employment taxes, of the recipient (including taxes on tax reimbursements) resulting from the benefits in such plan or plans, other than # the monthly automobile allowance, and # personal use of aircraft; and/or

such Contract, if an automobile purchase financing contract or loan # has a cash advance component of less than $27,500 or # if such cash advance component is greater than $27,500, then no more than 10% of the aggregate value of all Eligible Contracts shall contain cash advance components greater than $27,500;

in connection with such Contract, if an automobile purchase financing contract or loan, the Borrower shall have obtained a Certificate of Title reflecting it as the lienholder of any vehicle subject to the Contract within 120 days following execution of such Contract, and such Contract is secured by a first priority, perfected interest in such vehicle;

Other Benefit Plans and Programs. Employee shall also be entitled to participate in the Standex Long Term Incentive Program, the Standex Management Stock Purchase Program, and such other incentive, welfare and defined contribution retirement benefit plans as are made available, from time to time to senior divisional management employees of the Employer. Employee shall be entitled to use of an automobile furnished at the expense of Employer in accordance with Employer’s policy on this subject, as such policy shall be revised from time to time.
