Company Vehicle. Melamed will be entitled a monthly automobile allowance of $4,500, and in addition her car insurance, gasoline, repairs and all other automobile costs shall be paid by RoxSan during the term hereof.

Auto Allowance. During the term of your employment, at your option, the Company shall either # provide an automobile suitable for your purposes, with an acquisition value not to exceed $60,000, or # a monthly auto allowance of $960. Payable bi-weekly in accordance with the Company's standard payroll practices and subject to withholding taxes, all in accordance with the Company's automobile program.

Automobile Liability. Business automobile liability coverage of all owned, non-owned or hired motor vehicles with coverage at least as broad as the Insurance Services Office (ISO) business automobile coverage form with limits not less than One Million Dollars ($1,000,000) combined single limit for bodily injury and property damage.

Company Automobile. The Employee may continue using the Company-provided car in his possession at the Effective Date of this Agreement until December 31, 2016. As of December 31, 2016, the Employee may purchase the car at its market value (as determined by the Company's Fleet Services provider) or relinquish the car to the Company.

Allowance. Paragraph 11 of the First Amendment is deleted and replaced with the following:

Automobile Liability Coverage. Service Provider will be responsible for providing and maintaining Comprehensive Automobile Liability insurance, including coverage for owned, hired and non-owned automobiles, with a combined single limit not less than $2,000,000 per occurrence.

Automobile Allowance: Immediately upon successful completion of the Company’s public offering, the Executive shall receive use of a Company vehicle subject to the policies and costs as agreed between the Executive and the Board. Such benefit shall include routine expenses such as fuel, maintenance, insurance, etc.

an amount equal to that necessary to offset the Federal, state and local income taxes, as well as associated employment taxes, of the recipient (including taxes on tax reimbursements) resulting from the benefits in such plan or plans, other than # the monthly automobile allowance, and # personal use of aircraft; and/or

Business Expenses. Employee shall be entitled to reimbursement for reasonable and necessary out-of-pocket business, entertainment, and travel expenses incurred by Employee in connection with the performance of Employee’s duties, in accordance with the Company’s expense reimbursement policies. Employee shall receive an allowance of nine hundred dollars ($900.00) per month for automobile and cell phone expenses.

In order to provide remuneration for business use of your personal automobile, financial planning services, and other personal, job related expenses; you will continue to be provided with an annual allowance of $40,000 (paid bi-weekly). Additionally, you will continue to have access to Medtronic’s corporate jet, following the policies that have been established for its use.
